Professional Corporation Setup: Our Analysis

Federal corporations file an annual return with Corporations Canada that is separate from the T2 — missing it can lead to administrative dissolution. Our professional corporation setup engagement is priced as a budget-friendly flat fee, so the cost is known before the work starts.

Professional Corporation Setup: Notes From Our Practice

If you handle Professional Corporation Setup once a year, everything looks equally important. Handle it weekly, as a tax expert does, and a clear hierarchy emerges; these notes follow that hierarchy.

The foundation is simple to state and easy to trip over: The first fiscal year-end must fall within 53 weeks of incorporation and sets every future filing deadline, so it is worth choosing deliberately rather than defaulting to December 31.

Just as important, though far less discussed: A federal corporation must file an annual return with Corporations Canada that is entirely separate from its T2. Missing it repeatedly leads to administrative dissolution. Ask what a reviewer will want to see, and the answer sits in this rule: A CCPC files its T2 within six months of year-end, with the balance due two months after (three where the small business deduction is claimed). The 9% federal small business rate applies to the first $500,000 of active business income. The filing and payment deadlines differ, and interest runs from the payment date. Filing on time while paying late still costs money.

The practical upshot is simple: every one of these rules has a version that helps you and a version that costs you, and which one applies depends on choices made before filing. That is precisely the ground a tax expert covers. A productive professional corporation setup engagement starts with paperwork, and the list below covers what to gather.

The last note is about how we work rather than the rules: every engagement comes with a fixed fee agreed up front, a review with you before filing, and payment after — not before — the service.

Case Study 1

5-Week Turnaround Beat The Deadline And Saved $35,500 — Newly Formed Corporation, Surrey

A 5-week rebuild at a corporation choosing its first fiscal year-end in Surrey, British Columbia got the filing in with 9 days to spare, avoiding $35,500 in penalties.

Case Study 2

11 Months Reconciled And $16,000 Of Input Tax Recovered — New Program Registrant, Winnipeg

11 months of records at a corporation registering its CRA program accounts in Winnipeg, Manitoba had never been reconciled, leaving a corporation dissolved administratively for missed annual returns while still operating. Rebuilding recovered $16,000.

Case Study 3

$93,000 Of Working Capital Freed From The Tax Cycle — Federal Registry Filer, Edmonton

A federal corporation filing its registry annual return in Edmonton, Alberta was profitable and permanently short of cash, with dividends paid for three years with no directors’ resolutions behind them behind the gap. Restructuring the tax cycle freed $93,000.

Case Study 4

$24,000 Cut From The Annual Tax Bill — Extra-Provincial Registrant, Vancouver

An owner registering extra-provincially in a second province in Vancouver, British Columbia was filing correctly and still overpaying because of GST/HST collected for eight months before the RT account was ever opened. Restructuring the position cut $24,000 from the annual bill.

Case Study 5

Growth Handled Without A Missed Filing, $78,000 Freed — Newly Incorporating Consultant, Toronto

Scaling exposed a registered office address left unchanged through two moves, so registry notices went to an empty unit at a consultant incorporating after two years of self-employment in Toronto, Ontario. The back office was rebuilt to match, freeing $78,000.

Case Study 6

Audit Defence Closed In 3 Weeks, $28,000 Cleared — Converting Partnership, Guelph

A partnership converting to a corporation in Guelph, Ontario was under review over a December 31 year-end chosen by default that put the balance due at the worst point in the cash cycle. The file closed in 3 weeks with $28,000 of proposed tax cleared.

Professional Corporation Setup Questions We Hear Most Often

Direct answers to what Canadian business owners actually ask before hiring an accountant.

How much does Professional Corporation Setup cost in Canada?

Professional Corporation Setup starts at a fixed fee quoted before any work begins. The quote is locked at the outset and does not change mid-engagement, and you pay only after you have reviewed and approved the deliverable. Compare every plan on our transparent pricing page.

What documents do I need for Professional Corporation Setup?

At minimum: prior-year returns and notices of assessment, your bank and credit-card statements for the fiscal period, payroll records if you have employees, and GST/HST filings. We send a checklist tailored to your situation after the free 15-minute call.

How long does Professional Corporation Setup take?

Most engagements are completed within 3 to 5 business days once your documents are complete. Catch-up work covering multiple years takes longer, and we tell you the realistic timeline before you commit rather than after.

What happens if the CRA reviews or audits my filing?

We respond on your behalf at no extra charge for any return we prepared. Every figure we file is supported by documentation retained in your file, which is what turns a CRA review from a crisis into correspondence. See how our CRA audit representation works.

Can you handle late or missed filings?

Yes. Late filing penalties compound at 5% of the balance owing plus 1% per month, so the cost of waiting is real. We prioritise catch-up work and, where eligible, file under the CRA's Voluntary Disclosures Program to reduce penalties.

Do you work with businesses outside major cities?

Yes. We are a cloud-based practice serving every province and territory, so your location does not change the price or the service. Browse our coverage across Canada to find your city.

Which industries do you specialise in for Professional Corporation Setup?

We work across construction, healthcare, e-commerce, professional services, restaurants, real estate, transportation, technology and non-profits, each with its own deduction profile and CRA scrutiny patterns. See all industries we serve.

What makes Professional Corporation Setup different from filing it myself?

Software applies the rules you already know about. An experienced tax accountant finds the ones you do not: capital cost allowance timing, the small business deduction threshold, shareholder loan repayment rules, and TOSI exposure on family dividends. The fee is usually smaller than the deductions it surfaces.

What is included in Professional Corporation Setup services?

Our professional corporation setup services include complete filing, compliance management, and strategic advice customized to Canadian tax laws.

How do I start with Professional Corporation Setup services?

You can start by booking a free 15-minute call. We will review your files, provide a fixed quote, and start working immediately.

What goes wrong most often when owners handle professional corporation setup themselves?

Our answer starts where the legislation starts. Share structure decided at incorporation determines who can receive dividends later. Adding a class after the fact can trigger tax that a deliberate structure at day one would have avoided. From there it is a matter of applying it to your year — and that application, not the rule itself, is where an income tax specialist earns the fee.

What will you need from me to get professional corporation setup started?

You are asking the right question, and it has a real answer. Minute books are not optional paperwork. Directors’ resolutions authorising dividends, bonuses and share issuances are what make those transactions stand up on audit. What we add on top of that is the paperwork discipline that makes the answer stand up if anyone ever asks you to prove it.

Professional Corporation Setup: The Questions People Search

The questions Canadians actually search on this topic, answered plainly. Browse every question in the Canadian tax answers directory.

Paper returns go to the CRA tax centre that serves your province or territory of residence, not to one national address. The correct address is printed in the paper return package and listed on canada.ca under mailing addresses for individual returns, and it differs for non-residents and for business returns. Filing electronically is much faster: for the 2025 tax year the CRA aims to issue a refund on an online return in about two weeks, against a considerably longer standard on paper.

Once the notice of assessment shows a refund, direct deposit normally follows shortly after; a cheque takes longer because it travels by mail. Most of the wait is the assessment itself, not the payment, which is why the guideline for an online return is about two weeks from filing to money in the account. If nothing arrives, confirm your banking details in CRA My Account and check whether the refund was applied to an outstanding balance.

Not quite. The business number is the root identifier for your business, and every account you register sits on it with a two-letter program identifier and a reference for that account, so GST/HST, payroll and corporate income tax all share one root. Your GST/HST number is that root plus the GST/HST program identifier. Quote the full account number on returns, remittances and invoices, not just the root, or payments can land in the wrong account.

The Canada child benefit is a monthly tax-free payment based on how many children are in your care, their ages, whether a child qualifies for the disability benefit, and your adjusted family net income. Amounts are recalculated every July from the previous year's returns, so you and your spouse or common-law partner must both file each year to keep payments flowing. Apply through birth registration or in CRA My Account, and use the CRA's online calculator to estimate the amount.

Scholarships, fellowships and bursaries are income, but a scholarship exemption usually removes the tax. A student enrolled full time in a qualifying educational program can generally exempt the whole amount received for that program, so nothing is added to taxable income. Part-time students get a narrower exemption tied to tuition and program costs. Amounts that are really payment for work, such as a stipend for research services, do not qualify and stay taxable.

Divide income tax expense by profit before tax to get the effective rate. It differs from the statutory rate because of permanently non-deductible items, credits and timing differences between accounting and tax treatment. Income tax payable is a current liability and income tax receivable a current asset, so a refund is recorded against that receivable rather than as revenue. Internet is normally an operating expense under utilities or office costs, and property taxes are expensed unless properly capitalised to a project under construction.

Residents are taxed on worldwide income, self-assessed on a return you file yourself. Add up income, subtract deductions to reach taxable income, apply the federal and provincial brackets in steps, then reduce the result by non-refundable credits and by tax already withheld or paid by instalment. The difference is your refund or balance owing, which the CRA confirms on a notice of assessment and can later review or reassess.

Rental income earned by a corporation is usually passive investment income, taxed at a high corporate rate with part of it refundable when the company pays taxable dividends out to shareholders. The small business rate generally does not apply, because a rental operation counts as active business income only once it is large enough on the full-time employee test. Significant passive income can also grind an associated group's small business limit, and taking the money out adds a second layer of tax.

Line 105 on the electronic GST/HST return is the total tax you collected or that became collectible in the period, at 5% GST, 13% in Ontario, or 15% in New Brunswick, Newfoundland and Labrador and Prince Edward Island for 2026. Remitting means sending CRA that figure less your input tax credits. Tax collected is a liability, not revenue, so show it as its own invoice line with your GST/HST number.

For account-specific questions, the CRA will discuss your own file once you have verified your identity, and its individual and business enquiry lines cover balances, slips and deadlines. For advice on what to claim or how to structure something, speak to a tax preparer. If you want the filing handled for you, taxfilings.ca agrees a fixed fee before any work starts, and you pay after the service. Call +1 (416) 619-0068.

A corporation files a T2 return for every tax year it exists, even with no revenue and no tax payable. Skipping a nil return invites an arbitrary assessment and leaves the corporation with a filing history that blocks routine requests later. For an unincorporated business there is no separate return, but reporting the nil or loss position on your personal return preserves any loss for future years and keeps your records consistent.

Your marginal rate is the tax on your next dollar. Federal brackets for 2026 run 14%, 20.5%, 26%, 29% and 33% on the highest band, with your province's brackets stacking on top. Your average or effective rate is total tax divided by total income, and it is always lower, because earlier dollars sat in lower brackets or were sheltered by credits. Use the marginal rate to judge an RRSP contribution or extra contract work, the average rate to see what the year cost.
