A Short Glossary for Management Consultants Clients

T1 General
The personal income tax return individuals file with the CRA each year.
T2 Corporate Return
The corporate income tax return every incorporated Canadian business must file.
GST/HST Return
The sales-tax return businesses file to remit GST/HST collected, net of input tax credits.
Management Consultants: Our Analysis

For management consultants, the difference between an adequate and a strong filing is sector knowledge. Incorporated professionals with one dominant client carry personal services business risk — a designation that strips the small business deduction and most expense claims. Everything is handled at a low-cost fixed price — the economical alternative to hourly billing.

What a Tax Practitioner Checks First in Management Consultants

Owners in the management consultants sector tend to ask us the same handful of questions, in roughly the same order. That repetition is useful: it tells a tax practitioner exactly where the sector's confusion lives, and these notes start there.

One rule does more work than the rest combined, so it goes first. A small corporation still carries the full compliance set: T2, GST/HST, payroll, and the annual return with the incorporating jurisdiction. The annual corporate return is separate from the T2 and is the one most often forgotten, which can lead to administrative dissolution.

The second point follows directly from the first. The CRA requires business records to be kept for six years from the end of the tax year they relate to, in a form that allows the return to be verified. Where records cannot support the return, the CRA is entitled to assess on its own estimate — and the burden of disproving that estimate falls on the taxpayer.

Send us the file. We will quote a fixed fee, do the work, and hand it back for your review — you pay when you are satisfied, not before. That confidence comes from the sector, not from salesmanship.

Management Consultants: the tax rules that actually apply

Accounting for Management Consultants is a specialist job because the CRA treats this part of the professional services sector differently. These are the rules that actually change the number at the bottom of the return.

What the CRA looks at

Disbursements recovered from clients are revenue, not a wash: the CRA expects them in income with the matching cost deducted, and netting them off is a common reassessment trigger.

Partner draws are not salary. Drawing ahead of allocated income creates a debit capital account the CRA can treat as a shareholder-style benefit on audit.

What you can actually claim

A home office qualifies only where it is the principal place of business or used exclusively and regularly to meet clients; the deduction cannot create or increase a business loss.

Practice-management software, secure client portals and cyber-liability cover are current expenses, while the licence itself may be a Class 12 or Class 50 capital asset.

The filing calendar that applies

An incorporated practice files the T2 within six months of year-end, with the balance due two months after (three for a CCPC claiming the small business deduction).

Partnerships crossing $2 million in combined revenue and expenses, or holding a corporate partner, must file the T5013 information return by March 31.

Where the planning value sits

The salary-versus-dividend mix is where the money is: salary creates RRSP room and CPP entitlement, dividends avoid payroll remittances, and the right split changes with the owner's draw.

Passive investment income above $50,000 a year grinds the small business deduction dollar for dollar, so retained earnings need a deliberate investment plan.

None of this is charged as extra advice. It is simply what a properly prepared file for Management Consultants includes, at the fixed fee agreed up front.

Case Study 1

$43,000 Saved By Correcting What Prior Filings Had Missed — Surveying Practice, Toronto

A second opinion for a surveying practice in Toronto, Ontario recovered $43,000 a year. It found a previous accountant with no experience of this sector in prior filings.

A surveying practice in Toronto, Ontario asked for a second opinion on management consultants accounting and tax. That followed three years of rising tax. The review found a previous accountant with no experience of this sector. We built the comparison first: current structure against two alternatives. Then we rebuilt the chart of accounts around how a management consultants business actually earns and spends. First-year saving of $43,000, with the same benefit recurring. Every position taken is documented and supported in the file.

Case Study 2

$95,000 Proposed Adjustment Withdrawn In Full — Executive Coaching Practice, Saskatoon

An executive coaching practice in Saskatoon, Saskatchewan faced a $95,000 proposed reassessment. It came after sector deductions claimed on a general-business basis rather than the management consultants rules. We rebuilt the documentation and the adjustment was withdrawn in full.

An executive coaching practice in Saskatoon, Saskatchewan received a proposal letter opening a review of management consultants accounting and tax. The CRA had identified sector deductions claimed on a general-business basis rather than the management consultants rules. It proposed an adjustment of $95,000, with 30 days to respond. We treated the response as an evidence exercise rather than an argument. We aligned the reporting calendar with the sector’s own seasonal cycle rather than a generic year-end. We then indexed every supporting document against the specific line the auditor had questioned. The proposed adjustment was withdrawn in full — all $95,000 of it. The file closed in 10 weeks with no change to the assessed amounts and no penalty.

Case Study 3

Intergenerational Transfer Completed With $440,000 Deferred — Boutique Law Firm, Barrie

A family transfer at a boutique law firm in Barrie, Ontario would have been fully taxable. The reason was no valuation on file to support the price the parties had agreed. Restructuring deferred $440,000.

A generational transfer at a boutique law firm in Barrie, Ontario had been discussed for years without a plan. No valuation on file to support the price the parties had agreed meant the transfer as contemplated would have been fully taxable. We reviewed every sector-specific deduction against the current rules and claimed the ones that had been missed. We sequenced the steps so each one was complete and documented before the next depended on it. $440,000 of tax was deferred through the transfer, and the successor generation took over a corporation whose records stood up to review.

Case Study 4

Corporate Structure Rebuilt For $54,000 Of Annual Savings — Two-Partner Engineering Practice, Winnipeg

The structure at a two-partner engineering practice in Winnipeg, Manitoba no longer fitted the business. Equipment and asset classes assigned by guesswork rather than the CCA schedule showed it. Rebuilding it saves $54,000 a year.

The structure at a two-partner engineering practice in Winnipeg, Manitoba dated from years earlier. It had been set up for a business that no longer existed. Equipment and asset classes assigned by guesswork rather than the CCA schedule had become expensive. We reassigned the asset classes on the CCA schedule and corrected the opening balances. The reorganisation used the rollover provisions rather than a taxable transfer, so no tax fell due on the restructuring itself. $54,000 of annual saving, achieved on a tax-deferred basis. The minute book, elections and valuations are all in the file.

Case Study 5

$124,000 Late-Filing Penalty Cancelled On Relief Application — Management Consultancy, Red Deer

A management consultancy in Red Deer, Alberta had already been penalised. The issue was industry-specific reporting obligations nobody had flagged. A relief application cancelled $124,000 of that penalty.

A management consultancy in Red Deer, Alberta had already missed one deadline and was about to miss a second. Behind it sat industry-specific reporting obligations nobody had flagged. A penalty of $124,000 was accruing. We split the work into what had to happen before the deadline and what could follow it. Then we documented the positions to the standard the CRA applies to this sector specifically. The outstanding return was accepted as filed, and the taxpayer relief application cancelled $124,000 of the penalty already assessed on the earlier year.

Case Study 6

$62,000 Of Working Capital Freed From The Tax Cycle — Architecture Studio, Vancouver

An architecture studio in Vancouver, British Columbia was profitable and permanently short of cash. Behind the gap sat seasonal revenue reported without matching the costs that produced it. Restructuring the tax cycle freed $62,000.

An architecture studio in Vancouver, British Columbia was profitable on paper and short of cash every month. Seasonal revenue reported without matching the costs that produced it explained most of the gap. We rebuilt the chart of accounts around how a management consultants business actually earns and spends. We also built a thirteen-week cash view so tax payments stopped competing with payroll for the same dollars. $62,000 was released back into working capital. Remittances have been on time every period since, and the forecast shows the tax outflow before it lands.

Straight Answers on Management Consultants Filing

Direct answers to what Canadian business owners actually ask before hiring an accountant.

How are employees and subcontractors treated differently for a management consultants business?

The CRA looks at control, ownership of tools, chance of profit and risk of loss rather than what the contract is titled. Where a worker is reclassified as an employee, the unremitted CPP, EI and withholding land on the payer, together with penalties and interest.

What instalments does a management consultants business have to pay?

Individuals pay quarterly instalments once net tax owing passes $3,000 in the current year and either of the two preceding years. Corporations generally pay monthly, with many small CCPCs eligible for quarterly instalments instead. Basing them on a current-year estimate avoids overpaying after a strong year.

What tax deductions are management consultants businesses most likely to miss?

The recurring ones are capital cost allowance on equipment placed in service late in the year, the business-use portion of vehicle and home-office costs, and professional development. Each is defensible when documented at the time and difficult to defend when reconstructed later.

How much does accounting for management consultants businesses cost?

Corporate tax filing starts at $90 and bookkeeping at $10 per month, quoted as a fixed fee before work begins. Sector complexity does not trigger a surcharge. Review the full price list.

Do management consultants businesses need to register for GST/HST?

Registration is mandatory once taxable revenue exceeds $30,000 over four consecutive quarters. Registering voluntarily below that threshold is often worthwhile, because it lets you recover input tax credits on startup and equipment purchases.

Should I incorporate my management consultants business?

Incorporation usually pays off once profit consistently exceeds what you draw personally, because retained earnings are taxed at the small business rate rather than your marginal rate. Below that point the added compliance cost often outweighs the benefit. We model both before you decide.

What records do management consultants businesses need to keep?

The CRA requires six years of books and records from the end of the tax year they relate to: invoices, receipts, bank statements, payroll records and contracts. Digital copies are acceptable provided they are legible and complete.

How do you handle payroll for management consultants businesses?

We run the cycle, remit source deductions on schedule, and issue T4s ahead of the February deadline. Late remittances draw a penalty of up to 10% and repeat lateness raises it to 20%, so timing is the whole game. See our payroll service.

What does "Pay After Service" mean?

Our Pay After Service model means you review and approve all deliverables before making any payment. We prepare your returns or financial files, you review them, and only then do you pay. This ensures 100% satisfaction.

How does price matching work?

If you find a lower verified quote from another accounting firm in Canada for the same scope of services, we will match it immediately. Simply provide a verified quote.

How do I submit my tax documents?

We support completely secure digital uploads via our client portal, or you can email them to us. We support files from QuickBooks, Xero, Excel, and scan/photo documents.

When should a management consultants business bring in a specialist instead of a generalist?

The short answer comes straight from our working notes: Accrued but unbilled revenue belongs in income in the year the work was performed. Deferring it to the invoice date understates taxable income and is a standard reassessment adjustment. How that plays out on your file depends on the specifics, which is exactly what the engagement is for.

What records should a management consultants operation be keeping through the year?

Shareholder loan balances must be repaid within one year of the corporation’s following year-end. If they are not, the amount is included in the shareholder’s personal income under subsection 15(2). That is the part most owners have not heard before they sit down with us, and it usually changes what they do next.

What Canadians Search About Management Consultants

The questions Canadians actually search on this topic, answered plainly. Browse every question in the Canadian tax answers directory.

EI benefits are taxable income. Service Canada withholds income tax before each payment reaches you, and the total benefits plus the tax withheld appear on your T4E for the year. That withholding follows a basic calculation rather than your full marginal rate, so people who also worked during the year often end up with a balance owing at filing. Asking Service Canada to withhold more, or setting money aside yourself, avoids a surprise. Higher-income claimants can also have to repay part of their regular benefits through the return.

Contact your municipality’s tax or revenue office and ask for a reissued bill; most cities also let you view and pay it in an online property tax account set up with your roll number. Not receiving the bill does not cancel the obligation or stop late-payment charges, so ask for the amount and due dates straight away. Update your mailing address, and check whether your lender already pays the tax through your mortgage.

The CRA does use text and email for limited purposes: one-time passcodes when you sign in, and notifications telling you that mail is waiting in your account. It does not text you a refund offer, a payment demand or a link asking for banking details, a SIN or a card number. Never tap a link in an unexpected message; open canada.ca yourself and sign in to My Account to see whether anything is actually outstanding.

A real CRA agent will ask you to confirm identifying details, including your social insurance number, once you have called them or after they reach you about a known file. What the CRA does not do is demand your SIN, banking details or a payment over a call you were not expecting, threaten arrest, or ask for gift cards or crypto. If a call feels wrong, hang up and phone the CRA back on a number from canada.ca.

No. The fuel charge applies to fuels, not tobacco. Cigarettes carry federal excise duty, a provincial or territorial tobacco tax, and GST or HST on the shelf price, which is why tax makes up most of what you pay. Duty and tobacco tax rates move with budgets and some federal rates are adjusted annually, so check the CRA excise duty rates page and your province's tobacco tax page rather than an older figure.

The Income Tax Act is the federal statute that sets out how income tax works in Canada: who is taxable, how income, deductions and credits are computed, and what powers the CRA has to assess and collect. It is amended most years by budget legislation, and the consolidated text is published free on the Justice Laws website. Regulations, CRA guidance and court decisions sit alongside it. Provinces have their own income tax statutes, and Quebec administers its own.
