Numbered Corporation Registration: Our Analysis

The first fiscal year-end must fall within 53 weeks of incorporation and sets every future filing deadline, so it is worth choosing deliberately. Because the fee is fixed and pocket-friendly, the economics stay predictable whether your file is simple or messy.

Field Notes: Numbered Corporation Registration

What follows is the working view of a tax services provider who prepares numbered corporation registration week in, week out — the points that decide real files.

One rule does most of the work here. The first fiscal year-end must fall within 53 weeks of incorporation and sets every filing deadline that follows. Share structure decided at incorporation governs who can receive dividends later. Year-one choices are cheap to make and expensive to undo. Restructuring share classes after value has accrued triggers its own tax consequences.

Once that is settled, the next question answers itself less often than clients expect. A CCPC files its T2 within six months of year-end, with the balance due two months after (three where the small business deduction is claimed). The 9% federal small business rate applies to the first $500,000 of active business income. The filing and payment deadlines differ, and interest runs from the payment date. Filing on time while paying late still costs money. The third rule is where the real exposure hides. A federal corporation must file an annual return with Corporations Canada that is entirely separate from its T2. Missing it repeatedly leads to administrative dissolution.

None of this is exotic — but each point has to be applied to your facts, which is exactly what you are paying a tax filing specialist to do. Before the first meeting, it helps to pull together the records that let a tax services provider see your situation whole.

The last note is about how we work rather than the rules: every engagement comes with a fixed fee agreed up front, a review with you before filing, and payment after — not before — the service.

Numbered Corporation Registration Tax & Accounting Case Studies

See how our expert Numbered Corporation Registration tax and accounting services have helped Canadian businesses save money and stay compliant.

Case Study 1

7 Years Filed, $133,000 Removed From The Assessed Balance — Provincially Incorporating Trades Business, London

7 years of returns were outstanding at a trades business incorporating provincially in London, Ontario. That came on top of a December 31 year-end chosen by default that put the balance due at the worst point in the cash cycle. Filing on real numbers removed $133,000 of assessed tax.

A trades business incorporating provincially in London, Ontario had not filed for 7 years. The CRA had issued arbitrary assessments. The business was carrying a December 31 year-end chosen by default that put the balance due at the worst point in the cash cycle. That came on top of a growing interest balance. We started with the oldest year and worked forward so each year's closing balances fed the next. We selected a year-end that put the balance-due date after the seasonal cash peak, then registered every program account the business actually needed. We filed the years in sequence rather than all at once. Every year is now filed and assessed on actual figures. The notional assessments were vacated and $133,000 of the estimated balance came off, with a payment arrangement covering the rest.

Case Study 2

Books Rebuilt From Source, $14,500 In Unclaimed Input Tax Found — Extra-Provincial Registrant, Vancouver

The ledger at an owner registering extra-provincially in a second province in Vancouver, British Columbia could not support its own filings. The reason was a single class of common shares that made income splitting impossible. Rebuilding it surfaced $14,500 in unclaimed input tax.

An owner registering extra-provincially in a second province in Vancouver, British Columbia could not answer basic questions about its own numbers. A single class of common shares that made income splitting impossible sat between the bank statements and the ledger. We opened the register of individuals with significant control and put its review on the same annual cycle as the corporate annual return. We then documented the process so the work does not depend on any one person remembering how it was done. Records rebuilt and reconciled, $14,500 recovered in input tax credits that the old file could not support, and a documented monthly process now in place.

Case Study 3

$134,000 Proposed Adjustment Withdrawn In Full — Reviving Corporation, Victoria

A corporation reviving after administrative dissolution in Victoria, British Columbia faced a $134,000 proposed reassessment. It came after a spouse added as a shareholder on the assumption dividends could simply be split between two returns. We rebuilt the documentation and the adjustment was withdrawn in full.

A corporation reviving after administrative dissolution in Victoria, British Columbia received a proposal letter opening a review of numbered corporation registration. The CRA had identified a spouse added as a shareholder on the assumption dividends could simply be split between two returns. It proposed an adjustment of $134,000, with 30 days to respond. We treated the response as an evidence exercise rather than an argument. We reconstructed the minute book with resolutions for each historical dividend and share transaction. We then indexed every supporting document against the specific line the auditor had questioned. The proposed adjustment was withdrawn in full — all $134,000 of it. The file closed in 11 weeks with no change to the assessed amounts and no penalty.

Case Study 4

Corporate Structure Rebuilt For $47,000 Of Annual Savings — New Professional Corporation, Surrey

The structure at a professional forming a professional corporation in Surrey, British Columbia no longer fitted the business. A registered office address left unchanged through two moves, so registry notices went to an empty unit showed it. Rebuilding it saves $47,000 a year.

The structure at a professional forming a professional corporation in Surrey, British Columbia dated from years earlier. It had been set up for a business that no longer existed. A registered office address left unchanged through two moves, so registry notices went to an empty unit had become expensive. We filed the change of registered office and the director changes, so registry correspondence reached someone who read it. The reorganisation used the rollover provisions rather than a taxable transfer, so no tax fell due on the restructuring itself. $47,000 of annual saving, achieved on a tax-deferred basis. The minute book, elections and valuations are all in the file.

Case Study 5

$155,000 Of Working Capital Freed From The Tax Cycle — Converting Partnership, Lethbridge

A partnership converting to a corporation in Lethbridge, Alberta was profitable and permanently short of cash. Behind the gap sat dividends paid for three years with no directors’ resolutions behind them. Restructuring the tax cycle freed $155,000.

A partnership converting to a corporation in Lethbridge, Alberta was profitable on paper and short of cash every month. Dividends paid for three years with no directors’ resolutions behind them explained most of the gap. We restructured the share capital so dividends could be directed deliberately, respecting the TOSI rules. We also built a thirteen-week cash view so tax payments stopped competing with payroll for the same dollars. $155,000 was released back into working capital. Remittances have been on time every period since, and the forecast shows the tax outflow before it lands.

Case Study 6

$38,000 In Credits Claimed That Prior Filings Had Missed — New Program Registrant, Regina

5 years of filings at a corporation registering its CRA program accounts in Regina, Saskatchewan had never claimed the incentives the work qualified for. The review recovered $38,000.

A corporation registering its CRA program accounts in Regina, Saskatchewan had been filing for 5 years. In that time, the incentives its activity qualified for were never claimed. Behind that sat GST/HST collected for eight months before the RT account was ever opened. We tested each activity against the eligibility criteria rather than the description on the invoice. Then we separated the corporate registry deadlines from the CRA deadlines on one calendar, with a named person responsible for each. $38,000 in credits claimed, with the open prior years adjusted as well. The claim passed review without adjustment.

Answers to Frequent Numbered Corporation Registration Questions

Direct answers to what Canadian business owners actually ask before hiring an accountant.

How much does Numbered Corporation Registration cost in Canada?

Numbered Corporation Registration starts at a fixed fee quoted before any work begins. The quote is locked at the outset and does not change mid-engagement, and you pay only after you have reviewed and approved the deliverable. Compare every plan on our transparent pricing page.

What documents do I need for Numbered Corporation Registration?

At minimum: prior-year returns and notices of assessment, your bank and credit-card statements for the fiscal period, payroll records if you have employees, and GST/HST filings. We send a checklist tailored to your situation after the free 15-minute call.

How long does Numbered Corporation Registration take?

Most engagements are completed within 3 to 5 business days once your documents are complete. Catch-up work covering multiple years takes longer, and we tell you the realistic timeline before you commit rather than after.

What happens if the CRA reviews or audits my filing?

We respond on your behalf at no extra charge for any return we prepared. Every figure we file is supported by documentation retained in your file, which is what turns a CRA review from a crisis into correspondence. See how our CRA audit representation works.

Can you handle late or missed filings?

Yes. Late filing penalties compound at 5% of the balance owing plus 1% per month, so the cost of waiting is real. We prioritise catch-up work and, where eligible, file under the CRA's Voluntary Disclosures Program to reduce penalties.

Do you work with businesses outside major cities?

Yes. We serve clients in every province and territory at the same fixed fees, so your location does not change the price or the service. Browse our coverage across Canada to find your city.

Which industries do you specialise in for Numbered Corporation Registration?

We work across construction, healthcare, e-commerce, professional services, restaurants, real estate, transportation, technology and non-profits, each with its own deduction profile and CRA scrutiny patterns. See all industries we serve.

What makes Numbered Corporation Registration different from filing it myself?

Software applies the rules you already know about. An experienced tax accountant finds the ones you do not: capital cost allowance timing, the small business deduction threshold, shareholder loan repayment rules, and TOSI exposure on family dividends. The fee is usually smaller than the deductions it surfaces.

What is included in Numbered Corporation Registration services?

Our numbered corporation registration services include complete filing, compliance management, and strategic advice customized to Canadian tax laws.

How do I start with Numbered Corporation Registration services?

You can start by booking a free 15-minute call. We will review your files, provide a fixed quote, and start working immediately.

How do you price numbered corporation registration for a small business?

The honest answer comes down to one rule. A federal corporation must file an annual return with Corporations Canada that is entirely separate from its T2. Missing it repeatedly leads to administrative dissolution. That is the part we verify before anything is filed.

What happens during the first meeting about numbered corporation registration?

In our files, this is the deciding factor: A CCPC files its T2 within six months of year-end, with the balance due two months after (three where the small business deduction is claimed). The 9% federal small business rate applies to the first $500,000 of active business income. The filing and payment deadlines differ, and interest runs from the payment date. Filing on time while paying late still costs money. A tax advisor applies it to your numbers before submission.

More Numbered Corporation Registration Questions Canadians Ask

The questions Canadians actually search on this topic, answered plainly. Browse every question in the Canadian tax answers directory.

For the 2025 tax year the filing and payment deadline is 30 April 2026. If you or your spouse were self-employed, the filing deadline moves to 15 June 2026, but any balance owing is still due 30 April 2026. Interest starts the day after the payment deadline, and a late-filing penalty applies on top when a return with a balance owing is filed late. File on time even with nothing owing, because income-tested benefits are recalculated from the filed return.

Most people pay through online or telephone banking, adding the CRA as a payee and choosing the exact account and year, such as a personal balance owing or an instalment. The alternatives are CRA My Payment with a debit card, pre-authorised debit scheduled in My Account, a credit card or e-transfer through a third-party provider that charges its own fee, or paying at your bank with a remittance voucher. For the 2025 tax year the balance was due 30 April 2026.

The federal goods and services tax is 5% in 2026, and has been since it dropped from 6% to 5% on 1 January 2008. You pay the 5% on its own in Alberta, the Northwest Territories, Nunavut and Yukon. In British Columbia, Manitoba, Saskatchewan and Quebec it sits alongside a separate provincial tax, and in the five participating provinces it is folded into the HST rate.

Every current and past federal form, plus the full income tax and benefit package for your province, sits on the CRA pages at canada.ca, free to download and print. Signed-in users can also see the slips filed under their SIN, such as T4 and T5 information, inside CRA My Account. The CRA will mail a printed package on request by phone. Certified tax software fills the forms for you, so most filers never open a blank one.

Yes. Nothing blocks filing a very late personal return, and the CRA will process a 2015 T1 that was never filed. Expect interest and a late-filing penalty on any balance owing. A refund is a different matter: the CRA's power to issue one for a year that old runs out, so read the CRA taxpayer relief page before counting on money back. Filing still matters for benefit entitlement, and unfiled years can bring an arbitrary assessment.

Childcare services for young children, supplied mainly so a parent can work or study, are exempt from GST/HST, so a daycare does not charge tax on those fees and cannot claim input tax credits on the related costs. The operator's earnings are still taxable income, reported on a T2125 or a T2 depending on the structure. Parents deduct eligible childcare costs on the T1 within the limits on the CRA's child care expenses page.

Pay through your bank's online bill payment, CRA My Payment, pre-authorised debit set up in My Account, a credit card through a third-party provider, or at a Canadian financial institution with a remittance voucher. Interest runs daily on an unpaid balance from the due date, so pay what you can even if you cannot clear it all. If you cannot pay in full, call the CRA to arrange a payment plan; penalty and interest relief is requested on form RC4288.

No. In Canada severance, pay in lieu of notice and a retiring allowance are fully taxable in the year you receive them. There is no tax-free slice of a redundancy payment the way some other countries allow, and tax is withheld before payment. A direct transfer to an RRSP is available only for older years of service under a narrow rule, so your ordinary RRSP room is usually the only shelter. Have settlement wording reviewed before you sign.

Close the books for the fiscal year, prepare financial statements, then file a T2 return with the CRA for that year end within six months of it. For tax years beginning after 2023 — which covers every 2025 and 2026 year end — electronic filing is mandatory for essentially all corporations, with no gross-revenue threshold, and paper-filing a return that had to go in electronically draws a $1,000 penalty. Alberta and Quebec require their own provincial corporate return as well. A corporation with no activity still has to file. Keep the supporting records six years from the end of the last tax year they relate to.

Rental income earned by a corporation is usually passive investment income, taxed at a high corporate rate with part of it refundable when the company pays taxable dividends out to shareholders. The small business rate generally does not apply, because a rental operation counts as active business income only once it is large enough on the full-time employee test. Significant passive income can also grind an associated group's small business limit, and taking the money out adds a second layer of tax.

Property tax is a municipal charge covering the calendar year, billed in instalments, often an interim bill early in the year and a final bill once council sets the rate. At closing, the statement of adjustments divides the year between seller and buyer, so you reimburse whatever the seller prepaid beyond your closing date. Buying does not itself reset your assessment, since assessed values come from the provincial assessment authority on its own cycle. Arrange your own bill or a lender-paid account right after closing.

For individuals the return itself is the T1, the Income Tax and Benefit Return; a corporation files the T2. What people usually mean by tax documents are the slips that feed the return, such as the T4 for employment income, the T5 for investment income and the T3 for trust income, plus receipts for RRSP contributions, tuition, medical expenses, donations and childcare. Self-employed income goes on Form T2125. After filing, the CRA issues a notice of assessment.
