The Language of Named Corporation Registration Filing, Explained

T1 General
The personal income tax return individuals file with the CRA each year.
T2 Corporate Return
The corporate income tax return every incorporated Canadian business must file.
GST/HST Return
The sales-tax return businesses file to remit GST/HST collected, net of input tax credits.
Named Corporation Registration: Our Analysis

Federal corporations file an annual return with Corporations Canada that is separate from the T2 — missing it can lead to administrative dissolution. We quote named corporation registration as one budget-friendly fixed price — the budget-friendly alternative to hourly billing.

From the Desk of Your Tax Professional

If you handle Named Corporation Registration once a year, everything looks equally important. Handle it weekly, as a tax professional does, and a clear hierarchy emerges; these notes follow that hierarchy.

First, the rule that sorts straightforward files from complicated ones: A corporation needs its own CRA program accounts: RC for corporate income tax, RT for GST/HST, RP for payroll. Each has its own registration and filing obligations.

Just as important, though far less discussed: Share structure decided at incorporation determines who can receive dividends later. Adding a class after the fact can trigger tax that a deliberate structure at day one would have avoided. The documentation side matters just as much. Minute books are not optional paperwork. Directors’ resolutions authorising dividends, bonuses and share issuances are what make those transactions stand up on audit.

Think of these rules as the fixed terrain; your circumstances decide the route through it. Mapping that route is the work a tax professional takes off your plate for named corporation registration. Gather whatever records touch the numbers — statements, ledgers, prior-year filings — and we take it from there.

No surprises is the operating principle: the fee is agreed and fixed before we start, you review everything before it is filed, and payment comes after the work, not before.

Named Corporation Registration Tax & Accounting Case Studies

See how our expert Named Corporation Registration tax and accounting services have helped Canadian businesses save money and stay compliant.

Case Study 1

$40,000 Saved By Correcting What Prior Filings Had Missed — Newly Formed Corporation, Surrey

A second opinion for a corporation choosing its first fiscal year-end in Surrey, British Columbia recovered $40,000 a year. It found a register of individuals with significant control that had never been opened, let alone updated in prior filings.

A corporation choosing its first fiscal year-end in Surrey, British Columbia asked for a second opinion on named corporation registration. That followed three years of rising tax. The review found a register of individuals with significant control that had never been opened, let alone updated. We built the comparison first: current structure against two alternatives. Then we filed the change of registered office and the director changes, so registry correspondence reached someone who read it. First-year saving of $40,000, with the same benefit recurring. Every position taken is documented and supported in the file.

Case Study 2

Holding Structure Added, $21,000 Saved Annually — Provincially Incorporating Trades Business, Brampton

A trades business incorporating provincially in Brampton, Ontario needed a holding structure. It had to deal with a corporation dissolved administratively for missed annual returns while still operating. The reorganisation was tax-neutral and removed $21,000 of annual exposure.

The structure at a trades business incorporating provincially in Brampton, Ontario needed fixing. The file was carrying a corporation dissolved administratively for missed annual returns while still operating. Every option for fixing it ran through a reorganisation that had to be done without triggering tax. We worked with the client's lawyer. Together, we reconstructed the minute book with resolutions for each historical dividend and share transaction. We also prepared the elections, resolutions and valuations the structure needed to stand up. The structure now matches the business. Annual saving of $21,000, and the reorganisation itself was tax-neutral.

Case Study 3

Growth Handled Without A Missed Filing, $155,000 Freed — New Program Registrant, Windsor

A corporation registering its CRA program accounts in Windsor, Ontario was scaling. The growth exposed dividends paid for three years with no directors’ resolutions behind them. The back office was rebuilt to match, freeing $155,000.

A corporation registering its CRA program accounts in Windsor, Ontario was opening in a second province. That meant different filing obligations and a different payroll regime. Dividends paid for three years with no directors’ resolutions behind them already sat in the file. We separated the corporate registry deadlines from the CRA deadlines on one calendar, with a named person responsible for each. We then put monthly reporting in place. That let the owner see the cash effect of growth while there was still time to act on it. Growth was absorbed without a compliance failure. $155,000 of cash was released, and the monthly reporting now flags a problem while it is still small.

Case Study 4

$127,000 Of Penalties And Interest Cancelled On Relief — Federally Incorporating Seller, Lethbridge

An e-commerce seller incorporating federally in Lethbridge, Alberta was carrying $127,000 of penalties and interest. The charges arose from GST/HST collected for eight months before the RT account was ever opened. A relief application cancelled that amount.

An assessment of $127,000 landed at an e-commerce seller incorporating federally in Lethbridge, Alberta following a desk review. It turned on GST/HST collected for eight months before the RT account was ever opened. The auditor had not seen the records behind it. We restructured the share capital so dividends could be directed deliberately, respecting the TOSI rules. We then set out the legislative basis for the position alongside the documents supporting it. $127,000 of penalties and interest was cancelled under the taxpayer relief provisions, and the underlying assessment was adjusted to match the filed position.

Case Study 5

$81,000 Proposed Adjustment Withdrawn In Full — Federal Registry Filer, Edmonton

A federal corporation filing its registry annual return in Edmonton, Alberta faced an $81,000 proposed reassessment. It came after a registered office address left unchanged through two moves, so registry notices went to an empty unit. We rebuilt the documentation and the adjustment was withdrawn in full.

A federal corporation filing its registry annual return in Edmonton, Alberta received a proposal letter opening a review of named corporation registration. The CRA had identified a registered office address left unchanged through two moves, so registry notices went to an empty unit. It proposed an adjustment of $81,000, with 30 days to respond. We treated the response as an evidence exercise rather than an argument. We revived the corporation, filed the outstanding annual returns, and set a compliance calendar covering both the corporate registry and the CRA. We then indexed every supporting document against the specific line the auditor had questioned. The proposed adjustment was withdrawn in full — all $81,000 of it. The file closed in 4 weeks with no change to the assessed amounts and no penalty.

Case Study 6

$145,000 Late-Filing Penalty Cancelled On Relief Application — New Professional Corporation, Halifax

A professional forming a professional corporation in Halifax, Nova Scotia had already been penalised. The issue was a December 31 year-end chosen by default that put the balance due at the worst point in the cash cycle. A relief application cancelled $145,000 of that penalty.

A professional forming a professional corporation in Halifax, Nova Scotia had already missed one deadline and was about to miss a second. Behind it sat a December 31 year-end chosen by default that put the balance due at the worst point in the cash cycle. A penalty of $145,000 was accruing. We split the work into what had to happen before the deadline and what could follow it. Then we tested each intended dividend recipient against the excluded-amount tests before any dividend was declared, and recorded which test was being relied on. The outstanding return was accepted as filed, and the taxpayer relief application cancelled $145,000 of the penalty already assessed on the earlier year.

Questions Owners Ask About Named Corporation Registration

Direct answers to what Canadian business owners actually ask before hiring an accountant.

How much does Named Corporation Registration cost in Canada?

Named Corporation Registration starts at a fixed fee quoted before any work begins. The quote is locked at the outset and does not change mid-engagement, and you pay only after you have reviewed and approved the deliverable. Compare every plan on our transparent pricing page.

What documents do I need for Named Corporation Registration?

At minimum: prior-year returns and notices of assessment, your bank and credit-card statements for the fiscal period, payroll records if you have employees, and GST/HST filings. We send a checklist tailored to your situation after the free 15-minute call.

How long does Named Corporation Registration take?

Most engagements are completed within 3 to 5 business days once your documents are complete. Catch-up work covering multiple years takes longer, and we tell you the realistic timeline before you commit rather than after.

What happens if the CRA reviews or audits my filing?

We respond on your behalf at no extra charge for any return we prepared. Every figure we file is supported by documentation retained in your file, which is what turns a CRA review from a crisis into correspondence. See how our CRA audit representation works.

Can you handle late or missed filings?

Yes. Late filing penalties compound at 5% of the balance owing plus 1% per month, so the cost of waiting is real. We prioritise catch-up work and, where eligible, file under the CRA's Voluntary Disclosures Program to reduce penalties.

Do you work with businesses outside major cities?

Yes. We serve clients in every province and territory at the same fixed fees, so your location does not change the price or the service. Browse our coverage across Canada to find your city.

Which industries do you specialise in for Named Corporation Registration?

We work across construction, healthcare, e-commerce, professional services, restaurants, real estate, transportation, technology and non-profits, each with its own deduction profile and CRA scrutiny patterns. See all industries we serve.

What makes Named Corporation Registration different from filing it myself?

Software applies the rules you already know about. An experienced tax accountant finds the ones you do not: capital cost allowance timing, the small business deduction threshold, shareholder loan repayment rules, and TOSI exposure on family dividends. The fee is usually smaller than the deductions it surfaces.

What is included in Named Corporation Registration services?

Our named corporation registration services include complete filing, compliance management, and strategic advice customized to Canadian tax laws.

How do I start with Named Corporation Registration services?

You can start by booking a free 15-minute call. We will review your files, provide a fixed quote, and start working immediately.

Can I switch to your firm for named corporation registration partway through the year?

The first fiscal year-end must fall within 53 weeks of incorporation and sets every filing deadline that follows. Share structure decided at incorporation governs who can receive dividends later. Year-one choices are cheap to make and expensive to undo. Restructuring share classes after value has accrued triggers its own tax consequences. That is the part most owners have not heard before they sit down with us, and it usually changes what they do next.

How long does named corporation registration usually take from start to finish?

The short answer comes straight from our working notes: A federally incorporated corporation has to maintain a register of individuals with significant control, keep it current, and be able to produce it on request. It is a standing obligation rather than a document assembled the week someone asks for it. How that plays out on your file depends on the specifics, which is exactly what the engagement is for.

Commonly Searched Named Corporation Registration Questions

The questions Canadians actually search on this topic, answered plainly. Browse every question in the Canadian tax answers directory.

As the rules stand for the 2025 tax year filed in 2026, the late-filing penalty is 5% of the balance owing plus 1% of that balance for each full month the return is late, to a maximum of 12 months, so 17% at worst. It rises to 10% plus 2% per month for up to 20 months, a 50% maximum, but only where the CRA formally demanded the return and had already charged a late-filing penalty for any of the three preceding tax years. Interest compounds daily.

Call the individual or business enquiries line published on the CRA contact page at canada.ca. Have your social insurance number or business number, your date of birth and a figure from a recent return ready, because the agent verifies your identity before discussing anything. Lines are busiest just after filing season opens and near deadlines, so early morning usually connects faster. You can also send a secure message from My Account, or authorise a representative to call on your behalf.

The business number is the single identifier the CRA uses for your business, with a separate programme account opened under it for each obligation: GST/HST, payroll deductions, corporate income tax, import and export. Register through Business Registration Online, by phone or by mail, or receive one automatically when you incorporate federally. You need it before you can remit payroll or file GST/HST. Provincial registration is separate in some provinces, notably Quebec, where Revenu Québec administers its own accounts.

A smaller refund usually means less tax was over-withheld during the year, rather than that something went wrong. Common causes are a second job or a new employer withholding as though it were your only income, self-employment or investment income with no withholding at all, a benefit or credit reduced as income rose, fewer deductions claimed than last year, or a refund applied against another balance you owe. Compare the two notices of assessment line by line.

Yes. The lowest federal bracket rate was reduced and sits at 14% for the 2026 tax year. The other federal rates are unchanged at 20.5%, 26%, 29% and 33%, and each province sets its own rates separately. Because most non-refundable credits are calculated at the lowest rate, their value moves with it. Announced measures are not law until passed, so check the CRA's rates page before relying on any further proposal.

There is no Canadian tax called FHST. On a bill it is almost always GST, HST or a provincial sales tax, and some billing systems print a combined label for the federal and harmonised parts. Check the rate to identify it: 5% is GST, 13% is Ontario HST, 15% covers New Brunswick, Newfoundland and Labrador and Prince Edward Island, and 14% is Nova Scotia from 1 April 2025. Ask the supplier for their registration number if unsure.

Close the books for the fiscal year, prepare financial statements, then file a T2 return with the CRA for that year end within six months of it. For tax years beginning after 2023 — which covers every 2025 and 2026 year end — electronic filing is mandatory for essentially all corporations, with no gross-revenue threshold, and paper-filing a return that had to go in electronically draws a $1,000 penalty. Alberta and Quebec require their own provincial corporate return as well. A corporation with no activity still has to file. Keep the supporting records six years from the end of the last tax year they relate to.

Rent paid is not deductible on the federal return. Relief comes instead through provincial credits claimed on the provincial form filed with your T1, such as Ontario's energy and property tax credit, Manitoba's renters credit and Quebec's solidarity tax credit, each with its own residency and income tests. Rent is deductible only as a business or employment cost: the work-space-in-the-home share on a T2125, or with an employer-signed form where an employee is required to work from home.

Rental income earned by a corporation is usually passive investment income, taxed at a high corporate rate with part of it refundable when the company pays taxable dividends out to shareholders. The small business rate generally does not apply, because a rental operation counts as active business income only once it is large enough on the full-time employee test. Significant passive income can also grind an associated group's small business limit, and taking the money out adds a second layer of tax.

Yes. Every monthly lease payment on a vehicle in Ontario carries 13% HST, and so do the down payment, administration and acquisition fees, excess-kilometre charges and the buyout if you purchase at the end of the term. A registered business can generally claim an input tax credit on the tax in each payment, reduced for personal use and subject to the cost limits for passenger vehicles. Keep the lease agreement and the monthly statements.

Online sellers charge the sales tax of the province where the goods or service are delivered, not where the business sits. For 2026 that means GST 5% alone in Alberta and the territories, HST 13% in Ontario, 15% in New Brunswick, Newfoundland and Labrador and Prince Edward Island, and 14% in Nova Scotia, down from 15% on 1 April 2025. British Columbia, Saskatchewan, Manitoba and Quebec add PST, RST or QST on top of the GST. Large foreign platforms and digital subscription providers must register and charge tax too.

Yes. Reporting self-employment income does not depend on holding a licence or registering a business. You file Form T2125 with your T1 under your own name and social insurance number, and CRA accepts it. A business number is needed only when you register for GST/HST, payroll or another CRA programme. Municipal licensing and provincial name registration are separate obligations that do not change your filing duty either way.
