Corporate Minute Book Setup: Our Analysis

Federal corporations file an annual return with Corporations Canada that is separate from the T2 — missing it can lead to administrative dissolution. We quote corporate minute book setup as one budget-friendly fixed price — the budget-friendly alternative to hourly billing.

What a Tax Expert Checks First in Corporate Minute Book Setup

There is a version of corporate minute book setup that runs smoothly and a version that turns into correspondence. The difference is rarely luck; it comes down to details any tax expert handling these files weekly learns to check first.

One rule does most of the work here. A corporation needs its own CRA program accounts: RC for corporate income tax, RT for GST/HST, RP for payroll. Each has its own registration and filing obligations.

Pair that with the next rule and most of the confusion around corporate minute book setup disappears: The first fiscal year-end must fall within 53 weeks of incorporation and sets every future filing deadline. It is worth choosing deliberately rather than defaulting to December 31. The last of the major rules is about when, not what. A federal corporation must file an annual return with Corporations Canada that is entirely separate from its T2. Missing it repeatedly leads to administrative dissolution.

What this means in practice: the rules themselves are public, but applying them to your situation is where a tax expert earns the fee. Two files can read the same rules and land in very different places. Think of this list as the raw material a tax expert works from on corporate minute book setup.

We keep the commercial side simple. The fee is fixed and agreed in advance, the file is reviewed with you before filing, and you pay after the service — in that order, every time.

Case Study 1

Filed On Time From A Standing Start, $27,000 Penalty Avoided — Newly Incorporating Consultant, Vancouver

A consultant incorporating after two years of self-employment in Vancouver, British Columbia was 10 weeks from a deadline. The file also carried a corporation dissolved administratively for missed annual returns while still operating. Filing complete and on time avoided roughly $27,000 in penalties.

A consultant incorporating after two years of self-employment in Vancouver, British Columbia came to us 10 weeks before its filing deadline. The file came with a corporation dissolved administratively for missed annual returns while still operating. A late filing would have triggered a penalty of roughly $27,000 before interest. We worked backwards from the deadline. We revived the corporation, filed the outstanding annual returns, and set a compliance calendar covering both the corporate registry and the CRA. We prioritised the items that actually gated the filing and deferred everything that did not. The return was filed on time and complete. The $27,000 penalty never arose, and the compliance calendar we set means the next deadline is scheduled rather than discovered.

Case Study 2

Books Rebuilt From Source, $14,500 In Unclaimed Input Tax Found — Pre-Investment Startup, Kelowna

The ledger at a startup preparing for its first investment round in Kelowna, British Columbia could not support its own filings. The reason was a register of individuals with significant control that had never been opened, let alone updated. Rebuilding it surfaced $14,500 in unclaimed input tax.

A startup preparing for its first investment round in Kelowna, British Columbia could not answer basic questions about its own numbers. A register of individuals with significant control that had never been opened, let alone updated sat between the bank statements and the ledger. We selected a year-end that put the balance-due date after the seasonal cash peak, then registered every program account the business actually needed. We then documented the process so the work does not depend on any one person remembering how it was done. Records rebuilt and reconciled, $14,500 recovered in input tax credits that the old file could not support, and a documented monthly process now in place.

Case Study 3

Instalments Rebased, $91,000 Of Cash Returned To The Business — Converting Partnership, Red Deer

A partnership converting to a corporation in Red Deer, Alberta was overpaying instalments. The cause was GST/HST collected for eight months before the RT account was ever opened. Rebasing them returned $91,000 to the business.

A partnership converting to a corporation in Red Deer, Alberta was paying instalments calculated on a prior year. That year no longer reflected the business. GST/HST collected for eight months before the RT account was ever opened was tying up $91,000 of cash. We rebased the instalments on the current-year estimate rather than the prior-year default. Alongside that, we reconstructed the minute book with resolutions for each historical dividend and share transaction. $91,000 of cash stayed in the business, the penalty cycle ended, and the instalment position is reviewed each quarter against actual results.

Case Study 4

$41,000 Saved By Correcting What Prior Filings Had Missed — Incorporating Contractor, London

A second opinion for a contractor incorporating for liability reasons in London, Ontario recovered $41,000 a year. It found dividends paid for three years with no directors’ resolutions behind them in prior filings.

A contractor incorporating for liability reasons in London, Ontario asked for a second opinion on corporate minute book setup. That followed three years of rising tax. The review found dividends paid for three years with no directors’ resolutions behind them. We built the comparison first: current structure against two alternatives. Then we restructured the share capital so dividends could be directed deliberately, respecting the TOSI rules. First-year saving of $41,000, with the same benefit recurring. Every position taken is documented and supported in the file.

Case Study 5

Scaled To 41 Staff With $118,000 Of Working Capital Freed — Holding Structure Founder, Winnipeg

Growth at a founder setting up a holding structure in Winnipeg, Manitoba had outrun the back office. A December 31 year-end chosen by default that put the balance due at the worst point in the cash cycle broke first. Headcount reached 41 with $118,000 of cash freed.

A founder setting up a holding structure in Winnipeg, Manitoba was growing fast, with headcount reaching 41 in eighteen months. The back office had not kept up. A December 31 year-end chosen by default that put the balance due at the worst point in the cash cycle was the first thing to break. We tested each intended dividend recipient against the excluded-amount tests before any dividend was declared, and recorded which test was being relied on. We built the compliance calendar for the size the business was becoming rather than the size it had been. The business reached 41 staff with no missed remittance and no late filing. $118,000 of working capital was freed in the process.

Case Study 6

$116,000 Proposed Adjustment Withdrawn In Full — Reviving Corporation, Calgary

A corporation reviving after administrative dissolution in Calgary, Alberta faced a $116,000 proposed reassessment. It came after a registered office address left unchanged through two moves, so registry notices went to an empty unit. We rebuilt the documentation and the adjustment was withdrawn in full.

A corporation reviving after administrative dissolution in Calgary, Alberta received a proposal letter opening a review of corporate minute book setup. The CRA had identified a registered office address left unchanged through two moves, so registry notices went to an empty unit. It proposed an adjustment of $116,000, with 30 days to respond. We treated the response as an evidence exercise rather than an argument. We opened the register of individuals with significant control and put its review on the same annual cycle as the corporate annual return. We then indexed every supporting document against the specific line the auditor had questioned. The proposed adjustment was withdrawn in full — all $116,000 of it. The file closed in 8 weeks with no change to the assessed amounts and no penalty.

What Clients Ask Us About Corporate Minute Book Setup

Direct answers to what Canadian business owners actually ask before hiring an accountant.

How much does Corporate Minute Book Setup cost in Canada?

Corporate Minute Book Setup starts at a fixed fee quoted before any work begins. The quote is locked at the outset and does not change mid-engagement, and you pay only after you have reviewed and approved the deliverable. Compare every plan on our transparent pricing page.

What documents do I need for Corporate Minute Book Setup?

At minimum: prior-year returns and notices of assessment, your bank and credit-card statements for the fiscal period, payroll records if you have employees, and GST/HST filings. We send a checklist tailored to your situation after the free 15-minute call.

How long does Corporate Minute Book Setup take?

Most engagements are completed within 3 to 5 business days once your documents are complete. Catch-up work covering multiple years takes longer, and we tell you the realistic timeline before you commit rather than after.

What happens if the CRA reviews or audits my filing?

We respond on your behalf at no extra charge for any return we prepared. Every figure we file is supported by documentation retained in your file, which is what turns a CRA review from a crisis into correspondence. See how our CRA audit representation works.

Can you handle late or missed filings?

Yes. Late filing penalties compound at 5% of the balance owing plus 1% per month, so the cost of waiting is real. We prioritise catch-up work and, where eligible, file under the CRA's Voluntary Disclosures Program to reduce penalties.

Do you work with businesses outside major cities?

Yes. We serve clients in every province and territory at the same fixed fees, so your location does not change the price or the service. Browse our coverage across Canada to find your city.

Which industries do you specialise in for Corporate Minute Book Setup?

We work across construction, healthcare, e-commerce, professional services, restaurants, real estate, transportation, technology and non-profits, each with its own deduction profile and CRA scrutiny patterns. See all industries we serve.

What makes Corporate Minute Book Setup different from filing it myself?

Software applies the rules you already know about. An experienced tax accountant finds the ones you do not: capital cost allowance timing, the small business deduction threshold, shareholder loan repayment rules, and TOSI exposure on family dividends. The fee is usually smaller than the deductions it surfaces.

What is included in Corporate Minute Book Setup services?

Our corporate minute book setup services include complete filing, compliance management, and strategic advice customized to Canadian tax laws.

How do I start with Corporate Minute Book Setup services?

You can start by booking a free 15-minute call. We will review your files, provide a fixed quote, and start working immediately.

What does a tax consultant actually check during corporate minute book setup?

There is a widespread assumption here, and the actual position is worth stating plainly. A federal corporation must file an annual return with Corporations Canada that is entirely separate from its T2. Missing it repeatedly leads to administrative dissolution. If your current setup was built on the assumption instead of the rule, that is fixable — but sooner is better than later.

What records should I gather before starting corporate minute book setup?

A CCPC files its T2 within six months of year-end, with the balance due two months after (three where the small business deduction is claimed). The 9% federal small business rate applies to the first $500,000 of active business income. The filing and payment deadlines differ, and interest runs from the payment date. Filing on time while paying late still costs money. We flag this early with every client it touches, because finding it out at filing time leaves you far fewer options than finding it out now.

Commonly Searched Corporate Minute Book Setup Questions

The questions Canadians actually search on this topic, answered plainly. Browse every question in the Canadian tax answers directory.

For the 2025 tax year the filing and payment deadline is 30 April 2026. If you or your spouse carried on a business, the return itself is due 15 June 2026, but any balance owing is still due 30 April 2026. Interest runs on unpaid amounts after the payment deadline, and a late-filed return with a balance owing also attracts a late-filing penalty. Filing on time keeps benefit and credit payments flowing.

A refund is the tax already paid minus the tax actually owed. Add the income tax withheld on your slips to any instalments you paid, work out tax payable on your total income after deductions and credits, and the difference comes back if the first figure is larger. Large refunds usually trace to over-withholding on employment income, RRSP contributions, or credits transferred to you. Run the numbers through the CRA's or a commercial estimator before you file.

Work out the tax you actually owe for the year, then compare it with what has already been paid. Total your income, subtract deductions to reach taxable income, apply the federal and provincial brackets, take off your credits, and set the result against the tax withheld on your T4 and other slips plus any instalments. If more was withheld than you owe, the difference is your refund. Tax software approved for NETFILE runs the same arithmetic once your slips are entered.

No. The CRA closed its public walk-in counters years ago, so there is no office you can attend to file a return or ask questions. Service runs through the enquiries lines, secure messaging in My Account or My Business Account, and mail, and an agent can sometimes arrange a scheduled callback. Free volunteer clinics help modest-income filers in person during filing season.

No. Tips are added to your other income and taxed at your normal graduated rates, so there is no separate tip rate. What differs is how the tax reaches the CRA. Controlled tips the employer distributes go through payroll, with CPP, EI and income tax withheld, and show up on your T4. Direct tips are not withheld at source, so nothing comes off during the year and you can face a balance owing when you file.

Preschool and nursery school fees generally qualify as child care expenses, because the care lets a parent work, run a business or study. Fees for the educational portion of a program at a school can be excluded, so ask the provider for a receipt that separates child care from tuition. The claim normally goes on the lower-income spouse's return and is capped by the child's age and earned income. See the CRA child care expenses page.

In Canada the question really asks about your structure, because a Canadian return has no classification box. You are an employee, a sole proprietor reporting business income on your personal return, a partner in a partnership, or a corporation that files its own return. Forms sent by foreign clients often demand this before they will pay you. Answer with the structure that legally exists, decided by how you registered, not by how you describe the work.

There is no single CRA number. Individuals are identified by their social insurance number, a business by its business number with program accounts added for GST/HST, payroll or corporate tax, and a trust by its trust account number. Register a business number through Business Registration Online, by phone, or automatically when you incorporate federally. If you meant a telephone line instead, the CRA lists its enquiry numbers by topic on canada.ca.

Rental income earned by a corporation is usually passive investment income, taxed at a high corporate rate with part of it refundable when the company pays taxable dividends out to shareholders. The small business rate generally does not apply, because a rental operation counts as active business income only once it is large enough on the full-time employee test. Significant passive income can also grind an associated group's small business limit, and taking the money out adds a second layer of tax.

A corporation files a T2 return for every tax year it exists, even with no revenue and no tax payable. Skipping a nil return invites an arbitrary assessment and leaves the corporation with a filing history that blocks routine requests later. For an unincorporated business there is no separate return, but reporting the nil or loss position on your personal return preserves any loss for future years and keeps your records consistent.

No. Only one claim for the amount for an eligible dependant is allowed for each dependant, and only one per household in a year, so separated parents cannot both claim the same child. Where two or more children live with each parent under a shared arrangement, each parent may claim a different child. A parent required to pay child support for that child generally cannot claim the amount. The dependant's net income reduces what you can claim.

The CRA charges compound daily interest on an unpaid balance starting the day after the payment deadline, at the prescribed arrears rate it sets each quarter. Because that rate is reset quarterly, check the current figure on the CRA site rather than relying on one you saw last year. The same interest applies to late instalments and to penalties already charged. Paying part of the balance now reduces the interest accruing on the rest.
