Section 116 Certificate of Compliance: Our Analysis

The T1135 foreign income verification statement applies once specified foreign property passes $100,000 in cost — late-filing penalties start at $25 a day. We quote section 116 certificate of compliance as one budget-friendly fixed price — the budget-friendly alternative to hourly billing.

What We Notice Preparing Section 116 Certificate of Compliance Files

Every week brings another round of section 116 certificate of compliance work, and every week the same few issues account for most of the friction. Consider this a working tax advisor's short list for Section 116 Certificate of Compliance.

The first thing we verify on every engagement: A CCPC files its T2 within six months of year-end, with the balance due two months after (three where the small business deduction is claimed). The 9% federal small business rate applies to the first $500,000 of active business income. The filing and payment deadlines differ, and interest runs from the payment date. Filing on time while paying late still costs money.

Just as important, though far less discussed: The T1135 foreign income verification statement is required once specified foreign property exceeds $100,000 in cost. Late-filing penalties start at $25 a day to a maximum of $2,500 per year, before gross-negligence penalties. One more, because it surfaces in reviews constantly: A US LLC is a flow-through for US purposes but a corporation for Canadian purposes. That mismatch routinely produces double taxation unless the structure is corrected.

What this means for you: the value in section 116 certificate of compliance is not the filing itself, it is having a tax advisor apply these rules to your numbers before anything is submitted. Before the first meeting, it helps to pull together the records that let a tax advisor see your situation whole.

You will see the finished work before it goes anywhere — review-before-filing is standard here, not an add-on. The fee is fixed up front, and nothing is payable until the service is done.

Case Study 1

Second-Province Expansion Handled, $16,000 Of Cash Released — US-Facing Canadian Corporation, Windsor

A Canadian corporation with US customers in Windsor, Ontario expanded into a second province. The file already carried foreign accounts that had passed the $100,000 T1135 threshold three years earlier. Every obligation was set up in advance and $16,000 of cash released.

Revenue at a Canadian corporation with US customers in Windsor, Ontario was up sharply and cash was tighter than ever. Underneath it sat foreign accounts that had passed the $100,000 T1135 threshold three years earlier. We filed the outstanding T1135 disclosures through the Voluntary Disclosures Program, which eliminated the penalty exposure entirely. Every new obligation was set up before it was triggered, not after. That covered registration, remittance frequency and provincial filing. $16,000 of cash was released from the working capital cycle. The expansion completed with every registration and filing obligation covered from day one.

Case Study 2

$142,000 Of Excess Withholding Refunded On Election — Florida Property Owner, Kitchener

A family with a Florida vacation property in Kitchener, Ontario was over-withheld. The cause was a US LLC taxed as a corporation in Canada, producing double tax on the same income. Filing the election refunded $142,000.

A family with a Florida vacation property in Kitchener, Ontario was paying tax in two countries on one stream of income. A US LLC taxed as a corporation in Canada, producing double tax on the same income had never been reviewed against the treaty. We reported the deemed disposition properly on the departure return and claimed the foreign tax credits that had been left unused. We also coordinated the timing so the credit claimed in Canada matched the tax actually paid abroad. $142,000 of excess withholding was refunded and the exposure closed. Both sides of the border now report consistently, which is what keeps the credit claimable.

Case Study 3

Intergenerational Transfer Completed With $545,000 Deferred — Inbound Assignee, Burnaby

A family transfer at an inbound transferee on assignment in Burnaby, British Columbia would have been fully taxable. The reason was passive assets sitting inside the operating company, disqualifying the shares. Restructuring deferred $545,000.

A generational transfer at an inbound transferee on assignment in Burnaby, British Columbia had been discussed for years without a plan. Passive assets sitting inside the operating company, disqualifying the shares meant the transfer as contemplated would have been fully taxable. We reconstructed the day count on both sides of the border and documented the residency and treaty position before either revenue authority asked. We sequenced the steps so each one was complete and documented before the next depended on it. $545,000 of tax was deferred through the transfer, and the successor generation took over a corporation whose records stood up to review.

Case Study 4

$48,000 Of Penalties And Interest Cancelled On Relief — Non-Resident Landlord, Halifax

A non-resident owning Canadian rental property in Halifax, Nova Scotia was carrying $48,000 of penalties and interest. The charges arose from a departure year filed as a normal resident return with no deemed disposition reported. A relief application cancelled that amount.

An assessment of $48,000 landed at a non-resident owning Canadian rental property in Halifax, Nova Scotia following a desk review. It turned on a departure year filed as a normal resident return with no deemed disposition reported. The auditor had not seen the records behind it. We restructured the US holding so the Canadian and US characterisations aligned, ending the double taxation going forward. We then set out the legislative basis for the position alongside the documents supporting it. $48,000 of penalties and interest was cancelled under the taxpayer relief provisions, and the underlying assessment was adjusted to match the filed position.

Case Study 5

$149,000 Of Working Capital Freed From The Tax Cycle — US Rental Owner, Winnipeg

A Canadian resident with a US rental property in Winnipeg, Manitoba was profitable and permanently short of cash. Behind the gap sat US tax paid but no foreign tax credit claimed on the Canadian return. Restructuring the tax cycle freed $149,000.

A Canadian resident with a US rental property in Winnipeg, Manitoba was profitable on paper and short of cash every month. US tax paid but no foreign tax credit claimed on the Canadian return explained most of the gap. We registered the payer for a non-resident withholding account, remitted the Regulation 105 amounts due, and applied for waivers covering the rest of the contract. We also built a thirteen-week cash view so tax payments stopped competing with payroll for the same dollars. $149,000 was released back into working capital. Remittances have been on time every period since, and the forecast shows the tax outflow before it lands.

Case Study 6

Audit Defence Closed In 3 Weeks, $84,000 Cleared — US Branch Operator, Mississauga

A Canadian corporation operating a US branch in Mississauga, Ontario was under review. The issue was invoices paid to a non-resident consultant working on site in Canada with no Regulation 105 withholding taken. The file closed in 3 weeks with $84,000 of proposed tax cleared.

A Canadian corporation operating a US branch in Mississauga, Ontario was selected for review. Invoices paid to a non-resident consultant working on site in Canada with no Regulation 105 withholding taken had shown up in the CRA's automated matching. The proposed adjustment on section 116 certificate of compliance came to $84,000. We aligned the Canadian and US reporting of the same income so the foreign tax credit claim carried support on both returns. Every figure in the response traced to a source record the auditor could verify without asking a second question. The review closed with no change. $84,000 of proposed tax came off the table, and the documentation now in place makes the next review a short one.

Questions Owners Ask About Section 116 Certificate of Compliance

Direct answers to what Canadian business owners actually ask before hiring an accountant.

How much does Section 116 Certificate of Compliance cost in Canada?

Section 116 Certificate of Compliance starts at a fixed fee quoted before any work begins. The quote is locked at the outset and does not change mid-engagement, and you pay only after you have reviewed and approved the deliverable. Compare every plan on our transparent pricing page.

What documents do I need for Section 116 Certificate of Compliance?

At minimum: prior-year returns and notices of assessment, your bank and credit-card statements for the fiscal period, payroll records if you have employees, and GST/HST filings. We send a checklist tailored to your situation after the free 15-minute call.

How long does Section 116 Certificate of Compliance take?

Most engagements are completed within 3 to 5 business days once your documents are complete. Catch-up work covering multiple years takes longer, and we tell you the realistic timeline before you commit rather than after.

What happens if the CRA reviews or audits my filing?

We respond on your behalf at no extra charge for any return we prepared. Every figure we file is supported by documentation retained in your file, which is what turns a CRA review from a crisis into correspondence. See how our CRA audit representation works.

Can you handle late or missed filings?

Yes. Late filing penalties compound at 5% of the balance owing plus 1% per month, so the cost of waiting is real. We prioritise catch-up work and, where eligible, file under the CRA's Voluntary Disclosures Program to reduce penalties.

Do you work with businesses outside major cities?

Yes. We serve clients in every province and territory at the same fixed fees, so your location does not change the price or the service. Browse our coverage across Canada to find your city.

Which industries do you specialise in for Section 116 Certificate of Compliance?

We work across construction, healthcare, e-commerce, professional services, restaurants, real estate, transportation, technology and non-profits, each with its own deduction profile and CRA scrutiny patterns. See all industries we serve.

What makes Section 116 Certificate of Compliance different from filing it myself?

Software applies the rules you already know about. An experienced tax accountant finds the ones you do not: capital cost allowance timing, the small business deduction threshold, shareholder loan repayment rules, and TOSI exposure on family dividends. The fee is usually smaller than the deductions it surfaces.

What is included in Section 116 Certificate of Compliance services?

Our section 116 certificate of compliance services include complete filing, compliance management, and strategic advice customized to Canadian tax laws.

How do I start with Section 116 Certificate of Compliance services?

You can start by booking a free 15-minute call. We will review your files, provide a fixed quote, and start working immediately.

Is section 116 certificate of compliance something I can catch up on if I have fallen behind?

There is a widespread assumption here, and the actual position is worth stating plainly. The T1135 foreign income verification statement is required once specified foreign property exceeds $100,000 in cost. Late-filing penalties start at $25 a day to a maximum of $2,500 per year, before gross-negligence penalties. If your current setup was built on the assumption instead of the rule, that is fixable — but sooner is better than later.

What information will you ask me for once the section 116 certificate of compliance work is underway?

A tax specialist answers this differently than a search engine, because the rule has edges. A CCPC files its T2 within six months of year-end, with the balance due two months after (three where the small business deduction is claimed). The 9% federal small business rate applies to the first $500,000 of active business income. The filing and payment deadlines differ, and interest runs from the payment date. Filing on time while paying late still costs money. Where your business sits relative to those edges is what we establish in the first meeting.

What Canadians Search About Section 116 Certificate of Compliance

The questions Canadians actually search on this topic, answered plainly. Browse every question in the Canadian tax answers directory.

Canadian income tax is built up in layers. You total your income for the year, subtract the deductions you qualify for to arrive at taxable income, then apply the federal brackets and your province's brackets to that figure. Each bracket rate applies only to the income sitting inside it, so earning more never retaxes the dollars below. Non-refundable credits, starting with the basic personal amount, come off the tax afterwards. Look up the CRA bracket table for the tax year you are filing.

Income tax is tax charged on the income you earn in a year, levied by both the federal government and your province or territory. Rates are graduated, so successive slices of taxable income are taxed at higher rates, and credits such as the basic personal amount reduce the tax calculated. Employment income is taxed through payroll withholding and settled on your T1 return. Quebec residents also file a separate provincial return with Revenu Quebec.

A tax deduction is an amount subtracted from your income before tax is worked out, so it reduces the income being taxed rather than the tax bill directly. Its worth depends on your marginal rate: the higher the rate, the more the deduction saves. Common examples are RRSP contributions, child care costs, union dues, moving expenses and business expenses. Credits work the other way, reducing the tax calculated on that income.

Most people file electronically with software the CRA approves for NETFILE, or have a preparer send the return through EFILE. Paper filing is still accepted and takes far longer to process. Before starting, set up My Account, confirm your direct deposit details, and download the slips the CRA already holds so your return matches its records. For the 2025 tax year the deadline was 30 April 2026, with any balance owing due the same day; a 2025 return not yet filed is late, so file it now to stop the late-filing penalty growing.

Most residential rentals produce property income, not business income: you collect rent, pay the bills and report the net amount. The rental becomes a business when you provide services well beyond heat, light, parking and laundry, such as meals, cleaning, security or daily turnover, or run enough units with enough activity that it looks like a trade. The distinction matters for capital cost allowance, CPP on the earnings, and how losses are treated.

Zero-rated sales are taxable supplies that carry GST/HST at 0%. Basic groceries, prescription drugs, most medical devices, agricultural products and many exports are the common examples. The difference from exempt sales matters: on zero-rated sales you charge no tax but can still claim input tax credits on the GST/HST you paid on related costs, and those sales count toward the $30,000 small-supplier threshold for 2026. Exempt sales give you no input tax credits.

Net tax owing is your total tax payable for the year minus tax already withheld at source and certain credits, so it is roughly the balance left to pay when the return is filed. The CRA uses it to decide whether you must pay quarterly instalments, comparing the current year against the two before it. Cross the limit and instalment reminders follow. The current threshold and the calculation are set out on the CRA's instalment payments page.

A small business corporation is a Canadian-controlled private corporation that uses substantially all of its assets in an active business carried on mainly in Canada. The label matters because it opens access to the small business deduction, which for 2026 applies the 9% federal rate to the first $500,000 of active business income, and to the lifetime capital gains exemption on a share sale. Holding companies and passive investment corporations usually fail the asset test.

When you file electronically the software returns a confirmation number, which means the CRA received the return. Acceptance is the next step: the return is assessed and a notice of assessment issued, usually about two weeks after an online filing. CRA My Account shows the return status, the notice and any refund or balance owing. If nothing appears well past that window, confirm the submission actually transmitted rather than filing a second copy.

Your refund or balance is on the notice of assessment for the year, and in CRA My Account under that year's return. Both show the exact figure the CRA used. If you are calling and cannot verify your identity, the agent may ask for an amount from a line of a recent return instead, which you can read off the assessed copy in My Account. A refund can also differ from what your software predicted, because the CRA adjusts claims it disallows.

Double taxation is lawful, and relief comes through credits and treaties rather than exemption. A Canadian resident taxed abroad on foreign income normally claims a foreign tax credit, while Canada's tax treaties cap withholding and decide which country taxes first. Inside Canada, corporate profits paid out as dividends carry a gross-up and dividend tax credit so the combined burden approximates a single level of tax. US LLCs are a common trap, since Canada usually treats one as a corporation.

The refund or balance owing sits in the summary section at the end of the T1, after total credits are set against total tax payable. That is your own calculation, though, not the final word. The amount the CRA actually pays appears on your notice of assessment and in CRA My Account, and it can differ if slips, credits or an older balance changed the result. The notice sets out any change it made.
