The Vocabulary Behind Business Incorporation Services

T1 General
The personal income tax return individuals file with the CRA each year.
T2 Corporate Return
The corporate income tax return every incorporated Canadian business must file.
GST/HST Return
The sales-tax return businesses file to remit GST/HST collected, net of input tax credits.
Business Incorporation Services: Our Analysis

The choices made in year one — year-end date, share structure, GST/HST registration timing — set the tone for every filing that follows. Federal corporations file an annual return with Corporations Canada that is separate from the T2 — missing it can lead to administrative dissolution. Because the fee is fixed and affordable, the economics stay predictable whether your file is simple or messy.

Business Incorporation Services: Notes From Our Practice

There is a version of business incorporation services that runs smoothly and a version that turns into correspondence. The difference is rarely luck; it comes down to details any tax professional handling these files weekly learns to check first.

Ask any tax professional where business incorporation services files go sideways, and the answer usually traces back to this: The first fiscal year-end must fall within 53 weeks of incorporation and sets every filing deadline that follows. Share structure decided at incorporation governs who can receive dividends later. Year-one choices are cheap to make and expensive to undo. Restructuring share classes after value has accrued triggers its own tax consequences.

Pair that with the next rule and most of the confusion around business incorporation services disappears: A CCPC files its T2 within six months of year-end, with the balance due two months after (three where the small business deduction is claimed). The 9% federal small business rate applies to the first $500,000 of active business income. The filing and payment deadlines differ, and interest runs from the payment date. Filing on time while paying late still costs money. On the record-keeping side, one rule governs what must be kept and what must be shown: A federal corporation must file an annual return with Corporations Canada that is entirely separate from its T2. Missing it repeatedly leads to administrative dissolution.

Reading rules is one thing; knowing which of them your file actually triggers is another. An accounting firm closes that gap, and for business incorporation services the gap is often wider than it looks. Nothing slows a file like missing records, so for business incorporation services begin with.

As with everything we file: fixed fee agreed first, your review before submission, payment after service.

Case Study 1

Books Rebuilt From Source, $9,000 In Unclaimed Input Tax Found — Federal Registry Filer, Windsor

The ledger at a federal corporation filing its registry annual return in Windsor, Ontario could not support its own filings. The reason was a corporation dissolved administratively for missed annual returns while still operating. Rebuilding it surfaced $9,000 in unclaimed input tax.

A federal corporation filing its registry annual return in Windsor, Ontario could not answer basic questions about its own numbers. A corporation dissolved administratively for missed annual returns while still operating sat between the bank statements and the ledger. We revived the corporation, filed the outstanding annual returns, and set a compliance calendar covering both the corporate registry and the CRA. We then documented the process so the work does not depend on any one person remembering how it was done. Records rebuilt and reconciled, $9,000 recovered in input tax credits that the old file could not support, and a documented monthly process now in place.

Case Study 2

Holding Structure Added, $74,000 Saved Annually — New Professional Corporation, Burnaby

A professional forming a professional corporation in Burnaby, British Columbia needed a holding structure. It had to deal with GST/HST collected for eight months before the RT account was ever opened. The reorganisation was tax-neutral and removed $74,000 of annual exposure.

The structure at a professional forming a professional corporation in Burnaby, British Columbia needed fixing. The file was carrying GST/HST collected for eight months before the RT account was ever opened. Every option for fixing it ran through a reorganisation that had to be done without triggering tax. We worked with the client's lawyer. Together, we filed the change of registered office and the director changes, so registry correspondence reached someone who read it. We also prepared the elections, resolutions and valuations the structure needed to stand up. The structure now matches the business. Annual saving of $74,000, and the reorganisation itself was tax-neutral.

Case Study 3

$118,000 In Credits Claimed That Prior Filings Had Missed — Extra-Provincial Registrant, Winnipeg

3 years of filings at an owner registering extra-provincially in a second province in Winnipeg, Manitoba had never claimed the incentives the work qualified for. The review recovered $118,000.

An owner registering extra-provincially in a second province in Winnipeg, Manitoba had been filing for 3 years. In that time, the incentives its activity qualified for were never claimed. Behind that sat a register of individuals with significant control that had never been opened, let alone updated. We tested each activity against the eligibility criteria rather than the description on the invoice. Then we tested each intended dividend recipient against the excluded-amount tests before any dividend was declared, and recorded which test was being relied on. $118,000 in credits claimed, with the open prior years adjusted as well. The claim passed review without adjustment.

Case Study 4

Remuneration Review Saved $27,000 Across Corporate And Personal Returns — Family Business Adding Shares, Toronto

A remuneration review at a family business adding a second class of shares in Toronto, Ontario saved $27,000 across the corporate and personal returns. It found a spouse added as a shareholder on the assumption dividends could simply be split between two returns.

Nothing was wrong at a family business adding a second class of shares in Toronto, Ontario. The filings were on time and accurate. What they were not was planned. A spouse added as a shareholder on the assumption dividends could simply be split between two returns had never been reviewed. We reconstructed the minute book with resolutions for each historical dividend and share transaction. We ran the numbers across both the corporate and personal returns, so the saving was real rather than deferred into someone else's hands. $27,000 came off the combined corporate and personal tax bill, and the structure holds for future years without further work.

Case Study 5

Filed On Time From A Standing Start, $11,500 Penalty Avoided — Newly Incorporating Consultant, Moncton

A consultant incorporating after two years of self-employment in Moncton, New Brunswick was 11 weeks from a deadline. The file also carried dividends paid for three years with no directors’ resolutions behind them. Filing complete and on time avoided roughly $11,500 in penalties.

A consultant incorporating after two years of self-employment in Moncton, New Brunswick came to us 11 weeks before its filing deadline. The file came with dividends paid for three years with no directors’ resolutions behind them. A late filing would have triggered a penalty of roughly $11,500 before interest. We worked backwards from the deadline. We selected a year-end that put the balance-due date after the seasonal cash peak, then registered every program account the business actually needed. We prioritised the items that actually gated the filing and deferred everything that did not. The return was filed on time and complete. The $11,500 penalty never arose, and the compliance calendar we set means the next deadline is scheduled rather than discovered.

Case Study 6

3 Years Filed, $14,500 Removed From The Assessed Balance — Pre-Investment Startup, Brampton

3 years of returns were outstanding at a startup preparing for its first investment round in Brampton, Ontario. That came on top of a register of individuals with significant control that had never been opened, let alone updated. Filing on real numbers removed $14,500 of assessed tax.

A startup preparing for its first investment round in Brampton, Ontario had not filed for 3 years. The CRA had issued arbitrary assessments. The business was carrying a register of individuals with significant control that had never been opened, let alone updated. That came on top of a growing interest balance. We started with the oldest year and worked forward so each year's closing balances fed the next. We separated the corporate registry deadlines from the CRA deadlines on one calendar, with a named person responsible for each. We filed the years in sequence rather than all at once. Every year is now filed and assessed on actual figures. The notional assessments were vacated and $14,500 of the estimated balance came off, with a payment arrangement covering the rest.

Frequently Asked Questions on Business Incorporation Services

Direct answers to what Canadian business owners actually ask before hiring an accountant.

How much does Business Incorporation Services cost in Canada?

Business Incorporation Services starts at a fixed fee quoted before any work begins. The quote is locked at the outset and does not change mid-engagement, and you pay only after you have reviewed and approved the deliverable. Compare every plan on our transparent pricing page.

What documents do I need for Business Incorporation Services?

At minimum: prior-year returns and notices of assessment, your bank and credit-card statements for the fiscal period, payroll records if you have employees, and GST/HST filings. We send a checklist tailored to your situation after the free 15-minute call.

How long does Business Incorporation Services take?

Most engagements are completed within 3 to 5 business days once your documents are complete. Catch-up work covering multiple years takes longer, and we tell you the realistic timeline before you commit rather than after.

What happens if the CRA reviews or audits my filing?

We respond on your behalf at no extra charge for any return we prepared. Every figure we file is supported by documentation retained in your file, which is what turns a CRA review from a crisis into correspondence. See how our CRA audit representation works.

Can you handle late or missed filings?

Yes. Late filing penalties compound at 5% of the balance owing plus 1% per month, so the cost of waiting is real. We prioritise catch-up work and, where eligible, file under the CRA's Voluntary Disclosures Program to reduce penalties.

Do you work with businesses outside major cities?

Yes. We serve clients in every province and territory at the same fixed fees, so your location does not change the price or the service. Browse our coverage across Canada to find your city.

Which industries do you specialise in for Business Incorporation Services?

We work across construction, healthcare, e-commerce, professional services, restaurants, real estate, transportation, technology and non-profits, each with its own deduction profile and CRA scrutiny patterns. See all industries we serve.

What makes Business Incorporation Services different from filing it myself?

Software applies the rules you already know about. An experienced tax accountant finds the ones you do not: capital cost allowance timing, the small business deduction threshold, shareholder loan repayment rules, and TOSI exposure on family dividends. The fee is usually smaller than the deductions it surfaces.

What is included in Business Incorporation Services?

Our business incorporation services include complete filing, compliance management, and strategic advice customized to Canadian tax laws.

How do I start with Business Incorporation Services?

You can start by booking a free 15-minute call. We will review your files, provide a fixed quote, and start working immediately.

Can I switch to your firm for business incorporation services partway through the year?

The honest starting point is this: The first fiscal year-end must fall within 53 weeks of incorporation and sets every filing deadline that follows. Share structure decided at incorporation governs who can receive dividends later. Year-one choices are cheap to make and expensive to undo. Restructuring share classes after value has accrued triggers its own tax consequences. Everything else we would tell you is tailoring, and tailoring requires seeing your file.

How long does business incorporation services usually take from start to finish?

It depends less on opinion than owners assume. A federally incorporated corporation has to maintain a register of individuals with significant control, keep it current, and be able to produce it on request. It is a standing obligation rather than a document assembled the week someone asks for it. Once you know that, the practical question becomes timing and documentation — both of which we handle inside the engagement.

Commonly Searched Business Incorporation Services Questions

The questions Canadians actually search on this topic, answered plainly. Browse every question in the Canadian tax answers directory.

There is no single rate. Federal personal income tax for 2026 runs through five brackets: 14%, then 20.5%, 26%, 29% and 33% on the highest band, and your province's brackets stack on top, so your combined marginal rate is the federal rate plus the provincial one. The 2026 federal basic personal amount is $16,452, tapering to $14,829 as net income rises from $181,440 to $258,482. Capital gains and Canadian dividends are taxed on a different basis.

Medical costs give a non-refundable credit rather than a deduction. Eligible items include prescription drugs, dental work, eyeglasses and contact lenses, fees paid to medical practitioners authorised to practise, private health plan premiums, attendant care and travel for treatment unavailable locally. Over-the-counter products and most cosmetic procedures do not qualify. Only the portion above an income-based threshold counts, the claim period may end at any point in the tax year rather than following the calendar year, and pooling the family claim on one spouse usually helps.

A small business corporation is a Canadian-controlled private corporation that uses substantially all of its assets in an active business carried on mainly in Canada. The label matters because it opens access to the small business deduction, which for 2026 applies the 9% federal rate to the first $500,000 of active business income, and to the lifetime capital gains exemption on a share sale. Holding companies and passive investment corporations usually fail the asset test.

Enter zero only where a line asks for an amount and that amount genuinely is nil; otherwise leave it blank. Software fills lines from your slips and entries, so blank and zero normally produce the same assessment. What matters is that every slip and income line is reported. On paper forms, an empty identification field, election box or signature can delay processing, so complete those even when the figure beside them is nil.

Line 23600 is net income: total income from line 15000 less the deductions claimed on the lines in between, such as registered pension and RRSP contributions, union dues, child care, moving expenses and support payments. It is not the figure you pay tax on, taxable income comes further down the return, but it is the one most benefits and credits are tested against, including the Canada child benefit and the GST/HST credit.

Taxable means an amount has to be included in income and can be taxed. For income tax, taxable income is your total income less allowed deductions; tax is then calculated on that figure and reduced by credits. For GST/HST, a taxable supply is one that tax applies to, as opposed to an exempt supply such as long-term residential rent. Something taxable is not always taxed, because credits can reduce the tax to nil.

Not alone. A municipal council sets the property tax rate when it votes the annual budget and levy, and the mayor holds one vote, though a few provinces give mayors added budget powers that council can still override. Your bill is the assessed value of the property multiplied by that rate, plus an education portion the province sets. Assessments come from a provincial assessment body, not from the mayor.

Close the books for the fiscal year, prepare financial statements, then file a T2 return with the CRA for that year end within six months of it. For tax years beginning after 2023 — which covers every 2025 and 2026 year end — electronic filing is mandatory for essentially all corporations, with no gross-revenue threshold, and paper-filing a return that had to go in electronically draws a $1,000 penalty. Alberta and Quebec require their own provincial corporate return as well. A corporation with no activity still has to file. Keep the supporting records six years from the end of the last tax year they relate to.

Not quite. The business number is the root identifier for your business, and every account you register sits on it with a two-letter program identifier and a reference for that account, so GST/HST, payroll and corporate income tax all share one root. Your GST/HST number is that root plus the GST/HST program identifier. Quote the full account number on returns, remittances and invoices, not just the root, or payments can land in the wrong account.

Those lines are not on the T4 slip. A T4 uses box numbers; lines in the 20000s and 40000s belong to the T1 personal return. Line 23400 is net income before adjustments, line 23500 is the social benefits repayment and line 43500 is total payable. All three are calculated from the slips and amounts entered on the return rather than copied off a T4, and the notice of assessment confirms the final figures.

A property settlement on marriage breakdown is neither deductible to the payer nor taxable to the recipient, because it divides assets already owned rather than transferring income. A lump sum paid to clear arrears of support generally follows the same treatment. Periodic spousal support is different: paid under a written agreement or court order, it is deductible to the payer and taxable to the recipient, while child support under a more recent order is neither.

File on time anyway, then deal with the balance separately, because the late-filing penalty is avoidable even when the payment is not. The CRA accepts payment arrangements, where you propose instalments you can meet and usually disclose income and expenses to support them. Interest keeps running, so pay what you can immediately and arrange the remainder. Where penalties and interest built up through illness, disaster or CRA delay, Form RC4288 asks for taxpayer relief. A free 15-minute consultation can help you choose the route.
