Corporate Minute Book Maintenance: Our Analysis

Federal corporations file an annual return with Corporations Canada that is separate from the T2 — missing it can lead to administrative dissolution. Because the fee is fixed and economical, the economics stay predictable whether your file is simple or messy.

An Accountant's Notes on Corporate Minute Book Maintenance

Good corporate minute book maintenance work is mostly about sequencing: which questions to settle before which. These notes lay out the sequence an accountant follows on Corporate Minute Book Maintenance engagements.

The first thing we verify on every engagement: A corporation needs its own CRA program accounts: RC for corporate income tax, RT for GST/HST, RP for payroll. Each has its own registration and filing obligations.

Layer a second constraint on top and the picture sharpens: The first fiscal year-end must fall within 53 weeks of incorporation and sets every future filing deadline. It is worth choosing deliberately rather than defaulting to December 31. Calendars matter more than most people expect in corporate minute book maintenance, and this is the rule that proves it: A federal corporation must file an annual return with Corporations Canada that is entirely separate from its T2. Missing it repeatedly leads to administrative dissolution.

What this means for you: the value in corporate minute book maintenance is not the filing itself, it is having an accountant apply these rules to your numbers before anything is submitted. Gather whatever records touch the numbers — statements, ledgers, prior-year filings — and we take it from there.

The last note is about how we work rather than the rules: every engagement comes with a fixed fee agreed up front, a review with you before filing, and payment after — not before — the service.

Corporate Minute Book Maintenance Tax & Accounting Case Studies

See how our expert Corporate Minute Book Maintenance tax and accounting services have helped Canadian businesses save money and stay compliant.

Case Study 1

Share Sale Restructured, $790,000 Less Tax On Closing — Newly Incorporating Consultant, Toronto

Due diligence at a consultant incorporating after two years of self-employment in Toronto, Ontario surfaced a shareholder loan balance that would have been picked up as income on closing. Restructuring the sale saved $790,000 against the original terms.

A consultant incorporating after two years of self-employment in Toronto, Ontario was preparing to sell. Due diligence surfaced a shareholder loan balance that would have been picked up as income on closing. That would have reduced the price or killed the deal outright. We cleaned up the historical file. We filed the change of registered office and the director changes, so registry correspondence reached someone who read it. Then we prepared the due-diligence package the buyer's advisers actually asked for. The deal closed at the agreed price. $790,000 of tax was saved against the structure originally proposed, with no post-closing adjustment.

Case Study 2

$13,000 Saved By Correcting What Prior Filings Had Missed — Reviving Corporation, Halifax

A second opinion for a corporation reviving after administrative dissolution in Halifax, Nova Scotia recovered $13,000 a year. It found GST/HST collected for eight months before the RT account was ever opened in prior filings.

A corporation reviving after administrative dissolution in Halifax, Nova Scotia asked for a second opinion on corporate minute book maintenance. That followed three years of rising tax. The review found GST/HST collected for eight months before the RT account was ever opened. We built the comparison first: current structure against two alternatives. Then we separated the corporate registry deadlines from the CRA deadlines on one calendar, with a named person responsible for each. First-year saving of $13,000, with the same benefit recurring. Every position taken is documented and supported in the file.

Case Study 3

Notice Of Objection Allowed In Full, $76,000 Reversed — Federally Incorporating Seller, Windsor

A $76,000 reassessment landed at an e-commerce seller incorporating federally in Windsor, Ontario. It rested on dividends paid for three years with no directors’ resolutions behind them. The objection was allowed in full.

An e-commerce seller incorporating federally in Windsor, Ontario had been reassessed for $76,000. 13 days were left on the objection deadline. The reassessment rested on dividends paid for three years with no directors’ resolutions behind them. We filed the objection inside the deadline with a complete submission rather than a placeholder. Alongside it, we revived the corporation, filed the outstanding annual returns, and set a compliance calendar covering both the corporate registry and the CRA. The appeals officer allowed the objection in full. $76,000 was reversed and the account returned to a nil balance.

Case Study 4

$14,000 Credit Claim Filed And Accepted Without Adjustment — Extra-Provincial Registrant, Mississauga

An owner registering extra-provincially in a second province in Mississauga, Ontario had never tested its work against the eligibility rules. The resulting $14,000 claim was accepted without adjustment.

An owner registering extra-provincially in a second province in Mississauga, Ontario assumed the credits did not apply to a business its size. A single class of common shares that made income splitting impossible meant they had applied all along. We identified the qualifying activity and built the documentation to support it. Then we selected a year-end that put the balance-due date after the seasonal cash peak, then registered every program account the business actually needed. $14,000 recovered. Because the eligibility analysis is on file, the same claim can be repeated each year with a fraction of the effort.

Case Study 5

Remittance Schedule Corrected, $62,000 Refunded — Incorporating Contractor, Burnaby

Remittances at a contractor incorporating for liability reasons in Burnaby, British Columbia were chronically late. It came down to a registered office address left unchanged through two moves, so registry notices went to an empty unit. Fixing the schedule refunded $62,000.

Remittances at a contractor incorporating for liability reasons in Burnaby, British Columbia were consistently late by a few days. That was enough to trigger penalties every quarter. Behind it sat a registered office address left unchanged through two moves, so registry notices went to an empty unit. We reconstructed the minute book with resolutions for each historical dividend and share transaction. Then we moved the remittance dates into a scheduled process rather than a monthly decision. Penalties stopped from the following remittance onwards, and $62,000 of overpaid instalments was refunded.

Case Study 6

Reorganisation Completed Tax-Deferred, $67,000 Saved Each Year — Provincially Incorporating Trades Business, Kelowna

A trades business incorporating provincially in Kelowna, British Columbia had outgrown its structure. The visible cost was a spouse added as a shareholder on the assumption dividends could simply be split between two returns. The reorganisation completed tax-deferred and saves $67,000 a year.

A trades business incorporating provincially in Kelowna, British Columbia had outgrown the structure it started with. A spouse added as a shareholder on the assumption dividends could simply be split between two returns was the immediate problem. The longer-term one was that the structure blocked the next step. We mapped the current structure and modelled the target. Then we restructured the share capital so dividends could be directed deliberately, respecting the TOSI rules. The tax-deferred elections were filed on time and the supporting valuations documented. The reorganisation completed without triggering tax, and the new structure saves approximately $67,000 a year while removing the exposure the old one carried.

Questions Corporate Minute Book Maintenance Clients Ask, With Our Answers

Direct answers to what Canadian business owners actually ask before hiring an accountant.

How much does Corporate Minute Book Maintenance cost in Canada?

Corporate Minute Book Maintenance starts at a fixed fee quoted before any work begins. The quote is locked at the outset and does not change mid-engagement, and you pay only after you have reviewed and approved the deliverable. Compare every plan on our transparent pricing page.

What documents do I need for Corporate Minute Book Maintenance?

At minimum: prior-year returns and notices of assessment, your bank and credit-card statements for the fiscal period, payroll records if you have employees, and GST/HST filings. We send a checklist tailored to your situation after the free 15-minute call.

How long does Corporate Minute Book Maintenance take?

Most engagements are completed within 3 to 5 business days once your documents are complete. Catch-up work covering multiple years takes longer, and we tell you the realistic timeline before you commit rather than after.

What happens if the CRA reviews or audits my filing?

We respond on your behalf at no extra charge for any return we prepared. Every figure we file is supported by documentation retained in your file, which is what turns a CRA review from a crisis into correspondence. See how our CRA audit representation works.

Can you handle late or missed filings?

Yes. Late filing penalties compound at 5% of the balance owing plus 1% per month, so the cost of waiting is real. We prioritise catch-up work and, where eligible, file under the CRA's Voluntary Disclosures Program to reduce penalties.

Do you work with businesses outside major cities?

Yes. We serve clients in every province and territory at the same fixed fees, so your location does not change the price or the service. Browse our coverage across Canada to find your city.

Which industries do you specialise in for Corporate Minute Book Maintenance?

We work across construction, healthcare, e-commerce, professional services, restaurants, real estate, transportation, technology and non-profits, each with its own deduction profile and CRA scrutiny patterns. See all industries we serve.

What makes Corporate Minute Book Maintenance different from filing it myself?

Software applies the rules you already know about. An experienced tax accountant finds the ones you do not: capital cost allowance timing, the small business deduction threshold, shareholder loan repayment rules, and TOSI exposure on family dividends. The fee is usually smaller than the deductions it surfaces.

What is included in Corporate Minute Book Maintenance services?

Our corporate minute book maintenance services include complete filing, compliance management, and strategic advice customized to Canadian tax laws.

How do I start with Corporate Minute Book Maintenance services?

You can start by booking a free 15-minute call. We will review your files, provide a fixed quote, and start working immediately.

What records do I need before starting corporate minute book maintenance?

There is a widespread assumption here, and the actual position is worth stating plainly. The tax on split income applies the top marginal rate to dividends paid to a family member who does not meet an excluded-amount test. Adding a spouse or an adult child as a shareholder does not split income by itself. The test has to be met for the year the dividend is paid. If your current setup was built on the assumption instead of the rule, that is fixable — but sooner is better than later.

What goes wrong most often with corporate minute book maintenance?

A tax preparation specialist answers this differently than a search engine, because the rule has edges. Minute books are not optional paperwork. Directors’ resolutions authorising dividends, bonuses and share issuances are what make those transactions stand up on audit. Where your business sits relative to those edges is what we establish in the first meeting.

CRA online filing for 2025 returns opened 23 February 2026 and closes 29 January 2027. Most people file between late February and the 30 April 2026 deadline, and that stretch is what tax season refers to. You can gather documents and prepare a return earlier, but it cannot be sent electronically before the system opens. Employment and investment slips such as T4 and T5 are issued by payers early in the year, and the CRA's Auto-fill service can pull the ones it already holds once you have set up My Account.

A tax deduction is an amount subtracted from your income before tax is worked out, so it reduces the income being taxed rather than the tax bill directly. Its worth depends on your marginal rate: the higher the rate, the more the deduction saves. Common examples are RRSP contributions, child care costs, union dues, moving expenses and business expenses. Credits work the other way, reducing the tax calculated on that income.

For 2025 returns filed in 2026, most online returns are processed in about two weeks, and a non-resident return can take up to sixteen weeks. A paper return runs on a considerably longer standard because it is handled manually. Those timeframes assume a complete return that is not pulled for review. Register direct deposit and track progress in CRA My Account rather than waiting on a posted cheque.

Rarely on its own. Municipal tax follows the assessed value set by your province's assessment authority, not your renovation invoices. Work that adds living space, finished area or a permanent structure usually prompts a reassessment; replacing or paving a driveway generally moves market value very little. Building permits are how an assessor normally learns of changes. Your assessment notice explains how to ask for a review if the value looks wrong after work is done.

You can always file, and with no income it is usually worth doing. A nil or low-income return is how you claim the GST/HST credit and provincial credits, keep the Canada child benefit flowing, and carry unused tuition forward. Filing is required if the CRA asks you to, if you owe tax, or if you disposed of property or took money out of certain registered plans. One caveat: RRSP room only builds from earned income, so a year without work adds none.

Sometimes. Under the digital economy rules, a marketplace operator has to collect and remit GST/HST on sales it facilitates for vendors who are not registered themselves, including many non-resident vendors. If you are registered and selling your own goods held in Canada, you generally charge and remit the tax through your own return instead. Read the marketplace's tax reports so the same sale is not reported twice, and reconcile them to your filings.

Request it from Ontario's Ministry of Finance through their online tax compliance verification service. You sign in, identify the business, and the system checks your provincial tax accounts; if everything is filed and paid, the number is issued immediately. If an account is in arrears or a return is outstanding, the request is refused until you fix it, so file and pay first. Sole proprietors and corporations both use the same service.

The tax-free savings account began in the 2009 calendar year, so an adult resident of Canada has been accumulating room every year since then, and unused room carries forward indefinitely. Cumulative room reached $102,000 at 1 January 2025 and $109,000 at 1 January 2026, with the annual limit $7,000 for both 2025 and 2026. Check My Account for your own number, since it also reflects past contributions and withdrawals.

Personal rate and bracket changes almost always apply from 1 January of the tax year, so 2026 rates apply to income earned in 2026 and show up on the return you file in 2027. Federal 2026 brackets start at 14%. Corporate changes can land mid-year: Ontario's small business rate is 3.2% and falls to 2.2% effective 1 July 2026, and a fiscal year straddling that date is prorated between the two rates.

No credit exists simply for marrying. What changes is that you file as a couple. You may claim the spouse or common-law partner amount if your spouse has little income, transfer certain unused credits such as age, disability, and tuition amounts, pool medical expenses and donations on one return, and split eligible pension income. Marriage or common-law status also combines your incomes for income-tested payments, which can reduce the GST/HST credit and the child benefit.

Yes. Reporting self-employment income does not depend on holding a licence or registering a business. You file Form T2125 with your T1 under your own name and social insurance number, and CRA accepts it. A business number is needed only when you register for GST/HST, payroll or another CRA programme. Municipal licensing and provincial name registration are separate obligations that do not change your filing duty either way.

No. CPP retirement, disability and survivor benefits are pension income, not employment income. They are fully taxable and reported from the annual CPP benefit slip, but they build no RRSP contribution room and attract no further CPP contributions. The distinction matters because several amounts, including RRSP room, the Canada employment amount and childcare-related deductions, are tied to employment or earned income rather than pension income.
