Decoding Provincial Incorporation Services Jargon

T1 General
The personal income tax return individuals file with the CRA each year.
T2 Corporate Return
The corporate income tax return every incorporated Canadian business must file.
GST/HST Return
The sales-tax return businesses file to remit GST/HST collected, net of input tax credits.
Provincial Incorporation Services: Our Analysis

The choices made in year one — year-end date, share structure, GST/HST registration timing — set the tone for every filing that follows. Federal corporations file an annual return with Corporations Canada that is separate from the T2 — missing it can lead to administrative dissolution. Our provincial incorporation services engagement is priced as a affordable flat fee, so the cost is known before the work starts.

Provincial Incorporation Services: Notes From Our Practice

If you handle Provincial Incorporation Services once a year, everything looks equally important. Handle it weekly, as a tax professional does, and a clear hierarchy emerges; these notes follow that hierarchy.

One rule does most of the work here. A federal corporation must file an annual return with Corporations Canada that is entirely separate from its T2. Missing it repeatedly leads to administrative dissolution.

Then comes the detail that separates a clean file from an expensive one: The first fiscal year-end must fall within 53 weeks of incorporation and sets every future filing deadline. It is worth choosing deliberately rather than defaulting to December 31. Ask what a reviewer will want to see, and the answer sits in this rule: A corporation needs its own CRA program accounts: RC for corporate income tax, RT for GST/HST, RP for payroll. Each has its own registration and filing obligations.

None of this is exotic — but each point has to be applied to your facts, which is exactly what you are paying an accounting firm to do. The engagement goes fastest when last year’s filings and the current ledger arrive together.

Our terms are the same for every engagement: a fixed fee agreed before work begins, a full review with you before filing, and payment only after the service is complete.

Provincial Incorporation Services Tax & Accounting Case Studies

See how our expert Provincial Incorporation Services tax and accounting services have helped Canadian businesses save money and stay compliant.

Case Study 1

$15,000 Saved By Correcting What Prior Filings Had Missed — Family Business Adding Shares, Toronto

A second opinion for a family business adding a second class of shares in Toronto, Ontario recovered $15,000 a year. It found a register of individuals with significant control that had never been opened, let alone updated in prior filings.

A family business adding a second class of shares in Toronto, Ontario asked for a second opinion on provincial incorporation services. That followed three years of rising tax. The review found a register of individuals with significant control that had never been opened, let alone updated. We built the comparison first: current structure against two alternatives. Then we filed the change of registered office and the director changes, so registry correspondence reached someone who read it. First-year saving of $15,000, with the same benefit recurring. Every position taken is documented and supported in the file.

Case Study 2

Notice Of Objection Allowed In Full, $54,000 Reversed — Incorporating Contractor, Red Deer

A $54,000 reassessment landed at a contractor incorporating for liability reasons in Red Deer, Alberta. It rested on a single class of common shares that made income splitting impossible. The objection was allowed in full.

A contractor incorporating for liability reasons in Red Deer, Alberta had been reassessed for $54,000. 22 days were left on the objection deadline. The reassessment rested on a single class of common shares that made income splitting impossible. We filed the objection inside the deadline with a complete submission rather than a placeholder. Alongside it, we opened the register of individuals with significant control and put its review on the same annual cycle as the corporate annual return. The appeals officer allowed the objection in full. $54,000 was reversed and the account returned to a nil balance.

Case Study 3

$110,000 In Credits Claimed That Prior Filings Had Missed — Newly Formed Corporation, Surrey

3 years of filings at a corporation choosing its first fiscal year-end in Surrey, British Columbia had never claimed the incentives the work qualified for. The review recovered $110,000.

A corporation choosing its first fiscal year-end in Surrey, British Columbia had been filing for 3 years. In that time, the incentives its activity qualified for were never claimed. Behind that sat a register of individuals with significant control that had never been opened, let alone updated. We tested each activity against the eligibility criteria rather than the description on the invoice. Then we tested each intended dividend recipient against the excluded-amount tests before any dividend was declared, and recorded which test was being relied on. $110,000 in credits claimed, with the open prior years adjusted as well. The claim passed review without adjustment.

Case Study 4

Instalments Rebased, $14,000 Of Cash Returned To The Business — Federal Registry Filer, Calgary

A federal corporation filing its registry annual return in Calgary, Alberta was overpaying instalments. The cause was a spouse added as a shareholder on the assumption dividends could simply be split between two returns. Rebasing them returned $14,000 to the business.

A federal corporation filing its registry annual return in Calgary, Alberta was paying instalments calculated on a prior year. That year no longer reflected the business. A spouse added as a shareholder on the assumption dividends could simply be split between two returns was tying up $14,000 of cash. We rebased the instalments on the current-year estimate rather than the prior-year default. Alongside that, we restructured the share capital so dividends could be directed deliberately, respecting the TOSI rules. $14,000 of cash stayed in the business, the penalty cycle ended, and the instalment position is reviewed each quarter against actual results.

Case Study 5

Corporate Structure Rebuilt For $51,000 Of Annual Savings — Newly Incorporating Consultant, Victoria

The structure at a consultant incorporating after two years of self-employment in Victoria, British Columbia no longer fitted the business. Dividends paid for three years with no directors’ resolutions behind them showed it. Rebuilding it saves $51,000 a year.

The structure at a consultant incorporating after two years of self-employment in Victoria, British Columbia dated from years earlier. It had been set up for a business that no longer existed. Dividends paid for three years with no directors’ resolutions behind them had become expensive. We reconstructed the minute book with resolutions for each historical dividend and share transaction. The reorganisation used the rollover provisions rather than a taxable transfer, so no tax fell due on the restructuring itself. $51,000 of annual saving, achieved on a tax-deferred basis. The minute book, elections and valuations are all in the file.

Case Study 6

$24,000 Proposed Adjustment Withdrawn In Full — Holding Structure Founder, Halifax

A founder setting up a holding structure in Halifax, Nova Scotia faced a $24,000 proposed reassessment. It came after a registered office address left unchanged through two moves, so registry notices went to an empty unit. We rebuilt the documentation and the adjustment was withdrawn in full.

A founder setting up a holding structure in Halifax, Nova Scotia received a proposal letter opening a review of provincial incorporation services. The CRA had identified a registered office address left unchanged through two moves, so registry notices went to an empty unit. It proposed an adjustment of $24,000, with 30 days to respond. We treated the response as an evidence exercise rather than an argument. We selected a year-end that put the balance-due date after the seasonal cash peak, then registered every program account the business actually needed. We then indexed every supporting document against the specific line the auditor had questioned. The proposed adjustment was withdrawn in full — all $24,000 of it. The file closed in 11 weeks with no change to the assessed amounts and no penalty.

What Clients Ask Us About Provincial Incorporation Services

Direct answers to what Canadian business owners actually ask before hiring an accountant.

How much does Provincial Incorporation Services cost in Canada?

Provincial Incorporation Services starts at a fixed fee quoted before any work begins. The quote is locked at the outset and does not change mid-engagement, and you pay only after you have reviewed and approved the deliverable. Compare every plan on our transparent pricing page.

What documents do I need for Provincial Incorporation Services?

At minimum: prior-year returns and notices of assessment, your bank and credit-card statements for the fiscal period, payroll records if you have employees, and GST/HST filings. We send a checklist tailored to your situation after the free 15-minute call.

How long does Provincial Incorporation Services take?

Most engagements are completed within 3 to 5 business days once your documents are complete. Catch-up work covering multiple years takes longer, and we tell you the realistic timeline before you commit rather than after.

What happens if the CRA reviews or audits my filing?

We respond on your behalf at no extra charge for any return we prepared. Every figure we file is supported by documentation retained in your file, which is what turns a CRA review from a crisis into correspondence. See how our CRA audit representation works.

Can you handle late or missed filings?

Yes. Late filing penalties compound at 5% of the balance owing plus 1% per month, so the cost of waiting is real. We prioritise catch-up work and, where eligible, file under the CRA's Voluntary Disclosures Program to reduce penalties.

Do you work with businesses outside major cities?

Yes. We serve clients in every province and territory at the same fixed fees, so your location does not change the price or the service. Browse our coverage across Canada to find your city.

Which industries do you specialise in for Provincial Incorporation Services?

We work across construction, healthcare, e-commerce, professional services, restaurants, real estate, transportation, technology and non-profits, each with its own deduction profile and CRA scrutiny patterns. See all industries we serve.

What makes Provincial Incorporation Services different from filing it myself?

Software applies the rules you already know about. An experienced tax accountant finds the ones you do not: capital cost allowance timing, the small business deduction threshold, shareholder loan repayment rules, and TOSI exposure on family dividends. The fee is usually smaller than the deductions it surfaces.

What is included in Provincial Incorporation Services?

Our provincial incorporation services include complete filing, compliance management, and strategic advice customized to Canadian tax laws.

How do I start with Provincial Incorporation Services?

You can start by booking a free 15-minute call. We will review your files, provide a fixed quote, and start working immediately.

What records do I need before starting provincial incorporation services?

The first fiscal year-end must fall within 53 weeks of incorporation and sets every future filing deadline. It is worth choosing deliberately rather than defaulting to December 31. That is the part most owners have not heard before they sit down with us, and it usually changes what they do next.

How long does provincial incorporation services usually take from start to finish?

The short answer comes straight from our working notes: A corporation needs its own CRA program accounts: RC for corporate income tax, RT for GST/HST, RP for payroll. Each has its own registration and filing obligations. How that plays out on your file depends on the specifics, which is exactly what the engagement is for.

Provincial Incorporation Services: The Questions People Search

The questions Canadians actually search on this topic, answered plainly. Browse every question in the Canadian tax answers directory.

A tax deduction is an amount subtracted from your income before tax is worked out, so it reduces the income being taxed rather than the tax bill directly. Its worth depends on your marginal rate: the higher the rate, the more the deduction saves. Common examples are RRSP contributions, child care costs, union dues, moving expenses and business expenses. Credits work the other way, reducing the tax calculated on that income.

Yes. Most people file electronically through NETFILE using CRA-certified software, which submits the return directly and confirms receipt immediately. Filing online is also what makes a fast refund possible: for 2025 returns filed in 2026 the CRA service standard is about two weeks online, against a considerably longer standard for a paper return, and registering direct deposit removes the cheque step. CRA online filing for 2025 returns opened 23 February 2026 and closes 29 January 2027.

Child support under current rules is neither deductible for the payer nor taxable for the recipient. Spousal support is treated differently: where it is paid as a periodic allowance under a court order or written agreement, the payer deducts it and the recipient reports it as income. Lump sums and property transfers usually do not qualify. Register the order or agreement with the CRA and keep proof of every payment, because the deduction is often reviewed.

Register with the CRA for a business number, which is the account identifier the agency uses for your business. You can apply online through Business Registration Online, by phone, or by mail, giving your legal name, business activity and, for a corporation, your incorporation details. Incorporating often triggers a business number automatically. You then add program accounts on top of it, such as GST/HST, payroll and corporate income tax, as each obligation begins.

Most housing support is not taxable. Rent supplements, rent-geared-to-income subsidies and one-time housing top-ups are benefit payments rather than income, and there is normally no slip and nothing to report. Social assistance that happens to include a shelter component is different: it comes on a slip, goes into income and is then deducted, which affects benefit calculations but not tax. If you received a slip, report it; if not, check that program's own page.

As of 2026 the harmonised sales tax is 13% in Ontario and 15% in New Brunswick, Newfoundland and Labrador and Prince Edward Island. Nova Scotia has been 14% since 1 April 2025, down from 15%. The other provinces and territories are not harmonised: GST is 5%, with British Columbia PST at 7%, Saskatchewan PST at 6%, Manitoba RST at 7% and Quebec QST at 9.975% on the pre-GST price. Alberta and the territories charge GST only.

For 2026 the lowest federal bracket rate falls to 14%, which cuts tax for anyone with taxable income, and the federal basic personal amount rises to $16,452, tapering at higher incomes. The capital gains inclusion rate stayed at one-half for 2025 and 2026 because the proposed increase was never enacted. Ontario's small business rate drops to 2.2% effective 1 July 2026, and Nova Scotia's HST fell to 14% on 1 April 2025. Provincial credits change separately.

Corporate income tax is tax a corporation pays on its own profit, separate from the tax its owners pay on the wages or dividends they take out. For 2026 the federal rate is 9% on the first $500,000 of active business income for a small Canadian-controlled private corporation and 15% on income above that, with each province adding its own rate; Ontario's combined general rate is 26.5%. It is reported on a T2 return.

There is no single percentage. Your employer withholds federal and provincial income tax based on your pay, your claim amounts and your province, plus CPP at 5.95% on earnings between the $3,500 exemption and the 2026 maximum of $74,600, and EI at $1.63 per $100 of insurable earnings to the 2026 maximum of $68,900. Federal rates for 2026 begin at 14% and rise through higher brackets, and each province adds its own. CPP and EI stop once the annual maximums are reached.

Regular pay is taxed as though the current period repeats for the rest of the year, so a period with heavy overtime can be withheld as if that higher amount were your normal income; a bonus is handled by a different method that adds it to your estimated annual pay and withholds only the extra tax it produces, and commission earners can file a TD1X so deductions track their actual commission income. Two jobs, credits claimed twice on separate TD1 forms, or extra tax you asked to have withheld will also push the deduction up. CPP and EI come off until the annual maximums are reached. Anything over-withheld comes back as a refund when you file.

An Ontario corporation files its initial return with the province, not the CRA. You report the registered office address and the directors and officers through the Ontario Business Registry, signing in with your company key, and there is no fee. It is separate from your federal T2 and from the annual return. The filing is due soon after incorporation and a late filing carries a penalty, so confirm the current deadline on the Ontario Business Registry before you start.

Yes, in two different ways. You can contribute severance to an RRSP like any other cash and claim the deduction to offset the income, limited by your available contribution room. Separately, the eligible portion of a retiring allowance can be transferred directly to an RRSP without using contribution room and without tax withheld at source, and the employer works out that eligible portion from your years of service under the historic transfer rules. Ask the employer to split the payment accordingly before the agreement is signed.
