US Form 1120-S Filing: Our Analysis

The T1135 foreign income verification statement applies once specified foreign property passes $100,000 in cost — late-filing penalties start at $25 a day. Our us form 1120-s filing engagement is priced as a budget-friendly flat fee, so the cost is known before the work starts.

What a Tax Advisor Checks First in US Form 1120-S Filing

What actually separates a clean us form 1120-s filing file from a messy one? A working tax advisor would point to a short list of rules, and these notes walk through it.

The first thing worth pinning down is this: The T1135 foreign income verification statement is required once specified foreign property exceeds $100,000 in cost. Late-filing penalties start at $25 a day to a maximum of $2,500 per year, before gross-negligence penalties.

Pair that with the next rule and most of the confusion around us form 1120-s filing disappears: A CCPC files its T2 within six months of year-end, with the balance due two months after (three where the small business deduction is claimed). The 9% federal small business rate applies to the first $500,000 of active business income. The filing and payment deadlines differ, and interest runs from the payment date. Filing on time while paying late still costs money. The documentation side matters just as much. The rate charged follows the customer's province, not the seller's: 13% into Ontario, 15% into New Brunswick, Newfoundland and Labrador and PEI, 14% into Nova Scotia (since 1 April 2025), 5% plus provincial tax elsewhere. A seller charging its own province's rate nationally is under-collecting on some sales and over-collecting on others, and owes the difference on the under-collected ones.

What this means in practice: the rules themselves are public, but applying them to your situation is where a tax advisor earns the fee. Two files can read the same rules and land in very different places. To move quickly, have your ledger exports, bank statements and prior filings ready when we start.

Every us form 1120-s filing engagement carries the same commitments: a fixed fee settled before we begin, your sign-off before anything is filed, and payment only after the service is complete.

Case Study 1

Growth Handled Without A Missed Filing, $128,000 Freed — US-Facing Canadian Corporation, Winnipeg

A Canadian corporation with US customers in Winnipeg, Manitoba was scaling. The growth exposed US tax paid but no foreign tax credit claimed on the Canadian return. The back office was rebuilt to match, freeing $128,000.

A Canadian corporation with US customers in Winnipeg, Manitoba was opening in a second province. That meant different filing obligations and a different payroll regime. US tax paid but no foreign tax credit claimed on the Canadian return already sat in the file. We registered the payer for a non-resident withholding account, remitted the Regulation 105 amounts due, and applied for waivers covering the rest of the contract. We then put monthly reporting in place. That let the owner see the cash effect of growth while there was still time to act on it. Growth was absorbed without a compliance failure. $128,000 of cash was released, and the monthly reporting now flags a problem while it is still small.

Case Study 2

11-Week Turnaround Beat The Deadline And Saved $69,000 — Non-Resident Landlord, Halifax

An 11-week rebuild at a non-resident owning Canadian rental property in Halifax, Nova Scotia got the filing in with 13 days to spare. That avoided $69,000 in penalties.

A non-resident owning Canadian rental property in Halifax, Nova Scotia was weeks away from the deadline for US form 1120-S filing. Behind that sat invoices paid to a non-resident consultant working on site in Canada with no Regulation 105 withholding taken. The exposure if the date slipped was around $69,000. We aligned the Canadian and US reporting of the same income so the foreign tax credit claim carried support on both returns. The filing went in complete rather than provisional, so there was no amended return to follow. Filed with 13 days to spare. $69,000 in late-filing penalties avoided, and the working papers are ready for the following year.

Case Study 3

Intergenerational Transfer Completed With $390,000 Deferred — Mid-Year Emigrant, Burnaby

A family transfer at an emigrant who left Canada mid-year in Burnaby, British Columbia would have been fully taxable. The reason was no valuation on file to support the price the parties had agreed. Restructuring deferred $390,000.

A generational transfer at an emigrant who left Canada mid-year in Burnaby, British Columbia had been discussed for years without a plan. No valuation on file to support the price the parties had agreed meant the transfer as contemplated would have been fully taxable. We filed the section 216 election with the supporting rental statements and recovered the excess withholding as a refund. We sequenced the steps so each one was complete and documented before the next depended on it. $390,000 of tax was deferred through the transfer, and the successor generation took over a corporation whose records stood up to review.

Case Study 4

$25,500 Credit Claim Filed And Accepted Without Adjustment — Inbound Assignee, Kitchener

An inbound transferee on assignment in Kitchener, Ontario had never tested its work against the eligibility rules. The resulting $25,500 claim was accepted without adjustment.

An inbound transferee on assignment in Kitchener, Ontario assumed the credits did not apply to a business its size. Winters spent in the United States with the day count kept casually and no residency position documented anywhere meant they had applied all along. We identified the qualifying activity and built the documentation to support it. Then we applied the treaty rate to the dividend withholding, filed the NR4 return, and remitted the shortfall before the CRA assessed the payer for it. $25,500 recovered. Because the eligibility analysis is on file, the same claim can be repeated each year with a fraction of the effort.

Case Study 5

Remittance Schedule Corrected, $65,000 Refunded — US Branch Operator, Windsor

Remittances at a Canadian corporation operating a US branch in Windsor, Ontario were chronically late. It came down to foreign accounts that had passed the $100,000 T1135 threshold three years earlier. Fixing the schedule refunded $65,000.

Remittances at a Canadian corporation operating a US branch in Windsor, Ontario were consistently late by a few days. That was enough to trigger penalties every quarter. Behind it sat foreign accounts that had passed the $100,000 T1135 threshold three years earlier. We filed the outstanding T1135 disclosures through the Voluntary Disclosures Program, which eliminated the penalty exposure entirely. Then we moved the remittance dates into a scheduled process rather than a monthly decision. Penalties stopped from the following remittance onwards, and $65,000 of overpaid instalments was refunded.

Case Study 6

Books Rebuilt From Source, $8,000 In Unclaimed Input Tax Found — Florida Property Owner, Kelowna

The ledger at a family with a Florida vacation property in Kelowna, British Columbia could not support its own filings. The reason was a US LLC taxed as a corporation in Canada, producing double tax on the same income. Rebuilding it surfaced $8,000 in unclaimed input tax.

A family with a Florida vacation property in Kelowna, British Columbia could not answer basic questions about its own numbers. A US LLC taxed as a corporation in Canada, producing double tax on the same income sat between the bank statements and the ledger. We reported the deemed disposition properly on the departure return and claimed the foreign tax credits that had been left unused. We then documented the process so the work does not depend on any one person remembering how it was done. Records rebuilt and reconciled, $8,000 recovered in input tax credits that the old file could not support, and a documented monthly process now in place.

Questions Owners Ask About US Form 1120-S Filing

Direct answers to what Canadian business owners actually ask before hiring an accountant.

How much does US Form 1120-S Filing cost in Canada?

US Form 1120-S Filing starts at a fixed fee quoted before any work begins. The quote is locked at the outset and does not change mid-engagement, and you pay only after you have reviewed and approved the deliverable. Compare every plan on our transparent pricing page.

What documents do I need for US Form 1120-S Filing?

At minimum: prior-year returns and notices of assessment, your bank and credit-card statements for the fiscal period, payroll records if you have employees, and GST/HST filings. We send a checklist tailored to your situation after the free 15-minute call.

How long does US Form 1120-S Filing take?

Most engagements are completed within 3 to 5 business days once your documents are complete. Catch-up work covering multiple years takes longer, and we tell you the realistic timeline before you commit rather than after.

What happens if the CRA reviews or audits my filing?

We respond on your behalf at no extra charge for any return we prepared. Every figure we file is supported by documentation retained in your file, which is what turns a CRA review from a crisis into correspondence. See how our CRA audit representation works.

Can you handle late or missed filings?

Yes. Late filing penalties compound at 5% of the balance owing plus 1% per month, so the cost of waiting is real. We prioritise catch-up work and, where eligible, file under the CRA's Voluntary Disclosures Program to reduce penalties.

Do you work with businesses outside major cities?

Yes. We serve clients in every province and territory at the same fixed fees, so your location does not change the price or the service. Browse our coverage across Canada to find your city.

Which industries do you specialise in for US Form 1120-S Filing?

We work across construction, healthcare, e-commerce, professional services, restaurants, real estate, transportation, technology and non-profits, each with its own deduction profile and CRA scrutiny patterns. See all industries we serve.

What makes US Form 1120-S Filing different from filing it myself?

Software applies the rules you already know about. An experienced tax accountant finds the ones you do not: capital cost allowance timing, the small business deduction threshold, shareholder loan repayment rules, and TOSI exposure on family dividends. The fee is usually smaller than the deductions it surfaces.

What is included in US Form 1120-S Filing services?

Our us form 1120-s filing services include complete filing, compliance management, and strategic advice customized to Canadian tax laws.

How do I start with US Form 1120-S Filing services?

You can start by booking a free 15-minute call. We will review your files, provide a fixed quote, and start working immediately.

How is your approach to us form 1120-s filing different from doing it through software?

Let us give you the substance first and the caveats second. Departure from Canada triggers a deemed disposition of most property at fair market value. The resulting gain has to be reported on the final resident return. The caveat is simply that facts on your file can shift the outcome, so treat this as the baseline rather than the final word.

Is us form 1120-s filing something I can catch up on if I have fallen behind?

You are asking the right question, and it has a real answer. The Canada–US treaty allocates taxing rights, but relief is not automatic. A foreign tax credit or treaty position has to be claimed on a filed return. What we add on top of that is the paperwork discipline that makes the answer stand up if anyone ever asks you to prove it.

Commonly Searched US Form 1120-S Filing Questions

The questions Canadians actually search on this topic, answered plainly. Browse every question in the Canadian tax answers directory.

For the 2025 tax year the filing and payment deadline is 30 April 2026. If you or your spouse carried on a business, the return itself is due 15 June 2026, but any balance owing is still due 30 April 2026. Interest runs on unpaid amounts after the payment deadline, and a late-filed return with a balance owing also attracts a late-filing penalty. Filing on time keeps benefit and credit payments flowing.

Income tax is tax charged on the income you earn in a year, levied by both the federal government and your province or territory. Rates are graduated, so successive slices of taxable income are taxed at higher rates, and credits such as the basic personal amount reduce the tax calculated. Employment income is taxed through payroll withholding and settled on your T1 return. Quebec residents also file a separate provincial return with Revenu Quebec.

A refund is the tax already paid minus the tax actually owed. Add the income tax withheld on your slips to any instalments you paid, work out tax payable on your total income after deductions and credits, and the difference comes back if the first figure is larger. Large refunds usually trace to over-withholding on employment income, RRSP contributions, or credits transferred to you. Run the numbers through the CRA's or a commercial estimator before you file.

For the 2026 tax year, federal rates are 14% on the first $58,523 of taxable income, 20.5% from there to $117,045, 26% to $181,440, 29% to $258,482, and 33% above that. Each rate applies only to the income inside its own band, so moving into a higher bracket does not raise the tax on the income below it. Provincial or territorial tax is added on top.

Yes. Employment Insurance benefits are taxable income and must be reported on your return. Service Canada issues a T4E slip showing the benefits paid and the tax already withheld, and that withholding is often less than the rate that ends up applying, because it takes no account of employment income earned earlier in the same year. Many claimants therefore owe a balance at filing. If your income for the year is high enough, part of any regular benefits may also be repayable — the repayment never touches maternity, parental or sickness benefits, and it does not apply where you have not received regular benefits in the previous ten years.

It costs money if you owe. The late-filing penalty is 5% of the balance owing plus 1% for each full month the return is late, to a maximum of twelve months, with compound interest on top. If you are due a refund there is no penalty, but benefit and credit payments can stop until the return is filed. File even without the money to pay: filing on time stops the penalty and only interest runs.

Most corporations pay no capital tax at all in Canada. The federal large corporations tax and the general provincial capital taxes were phased out, so an ordinary operating company is outside the system entirely and needs no exemption. What survives is provincial capital tax on financial institutions such as banks, trust and loan companies and insurers, each province setting its own threshold and deduction. If your corporation is not a financial institution, check the relevant provincial ministry of finance page to confirm.

It means the sales tax that applies where the sale takes place. Federal GST is 5%. In Ontario the HST is 13%; in New Brunswick, Newfoundland and Labrador and Prince Edward Island it is 15%; Nova Scotia is 14% from 1 April 2025. British Columbia adds 7% PST and Saskatchewan 6% on top of GST, Manitoba adds 7% RST, and Quebec charges 9.975% QST on the pre-GST price for 14.975% combined. Alberta and the territories have GST only.

Sign in to My Account or My Business Account, open your profile and edit the telephone number there; the change applies immediately. Without online access, call the individual or business enquiries line and verify your identity, or send the change in writing to your tax centre. Keep the number current, because the CRA uses it for identity verification, multi-factor sign-in codes and contact about assessments, so a stale number can lock you out.

Look at three things. Income first: a raise, a second job, a bonus, self-employment or investment income can move you into a higher bracket or leave too little withheld. Second, payroll deductions reset each January as the CPP and EI limits are indexed, and CPP2 applies to earnings above the main ceiling. Third, credits or benefit amounts claimed last year may no longer apply. Compare this notice of assessment with last year's, line by line.

Mostly by claiming what the law already allows: deducting genuine business expenses, taking capital cost allowance on equipment and buildings, carrying losses to other years, and paying the small business rate on active income. A Canadian-controlled private corporation pays the federal small business rate of 9% on its first $500,000 of active business income for 2026, against a federal general net rate of 15%. Multinationals also choose where profit is reported, which transfer-pricing rules police.

Canada has no general dependant exemption of the kind used in the United States, but you may claim the spouse or common-law partner amount where you supported a partner with low net income. The credit is reduced dollar for dollar by that partner's net income and disappears once it passes the threshold for the year, so both returns should be prepared together. A partner with an impairment may also qualify you for the Canada caregiver amount.
