The Language of Private Equity & Investment Funds Filing, Explained

T1 General
The personal income tax return individuals file with the CRA each year.
T2 Corporate Return
The corporate income tax return every incorporated Canadian business must file.
GST/HST Return
The sales-tax return businesses file to remit GST/HST collected, net of input tax credits.
Private Equity & Investment Funds: Our Analysis

For private equity & investment funds, the difference between an adequate and a strong filing is sector knowledge. Most financial services are GST/HST-exempt, which blocks input tax credits on overhead and makes cost recovery a planning exercise of its own. Everything is handled at a budget-friendly fixed price — the economical alternative to hourly billing.

From the Desk of Your Tax Preparation Specialist

A private equity & investment funds business rarely gets into tax trouble through a dramatic mistake. It drifts there through small classification calls made without sector context — the kind of calls a tax preparation specialist makes differently after years of sector work.

Before anything else, one rule sets the frame. Compilation engagements follow CSRS 4200, which requires a basis-of-accounting note describing exactly how the statements were prepared. Lenders read that note, and an omitted one is the fastest way to have a financing package sent back.

There is a second layer to this. The CRA expects the trial balance behind a T2 to reconcile to the GIFI schedules filed with it. A statement set that does not tie to the return is the first thing a reviewer notices.

If any of this maps onto your situation, the next step is deliberately low-stakes: we quote a fixed fee up front, prepare the work, and you review everything before you pay. Sector files are what we do all week — bring us yours.

Private Equity & Investment Funds: the tax rules that actually apply

Accounting for Private Equity & Investment Funds is a specialist job because the CRA treats this part of the financial services & insurance sector differently. These are the rules that actually change the number at the bottom of the return.

What the CRA looks at

Most financial services are GST/HST-exempt, so input tax credits on rent, technology and marketing are largely unavailable and pricing must absorb the tax.

Commission income reported on T4A slips is matched automatically against declared revenue, and a mismatch generates an assessment before any human reviews it.

What you can actually claim

Advisor practices buying a client list amortise it at 5% a year rather than deducting it, which materially changes the after-tax cost of the acquisition.

Licensing, errors-and-omissions coverage and regulatory filing costs are deductible; the cost of acquiring a book of business is capital recovered through Class 14.1.

The filing calendar that applies

Insurance intermediaries may face provincial premium tax obligations that sit entirely outside the income tax system and are easy to miss when expanding provinces.

Segregated fund and trust reporting deadlines fall well before the personal filing deadline, so client-facing advisors need their own calendar.

The Benefits of Professional Financial Tax Services

Corporately owned life insurance interacts with the capital dividend account, and a properly structured policy can move value out of a corporation tax-free at death.

The lifetime capital gains exemption can apply to the sale of shares of an advisory corporation where the qualified small business corporation tests are met. Planning must start years ahead.

None of this is charged as extra advice. It is simply what a properly prepared file for Private Equity & Investment Funds includes, at the fixed fee agreed up front.

Case Study 1

$103,000 Of Penalties And Interest Cancelled On Relief — Insurance Brokerage, Guelph

An insurance brokerage in Guelph, Ontario was carrying $103,000 of penalties and interest. The charges arose from a chart of accounts that told the owner nothing about private equity & investment funds margin. A relief application cancelled that amount.

An assessment of $103,000 landed at an insurance brokerage in Guelph, Ontario following a desk review. It turned on a chart of accounts that told the owner nothing about private equity & investment funds margin. The auditor had not seen the records behind it. We documented the positions to the standard the CRA applies to this sector specifically. We then set out the legislative basis for the position alongside the documents supporting it. $103,000 of penalties and interest was cancelled under the taxpayer relief provisions, and the underlying assessment was adjusted to match the filed position.

Case Study 2

Share Sale Restructured, $220,000 Less Tax On Closing — Leasing Company, Saskatoon

Due diligence at a leasing company in Saskatoon, Saskatchewan surfaced retained cash well above what the business needed to operate. Restructuring the sale saved $220,000 against the original terms.

A leasing company in Saskatoon, Saskatchewan was preparing to sell. Due diligence surfaced retained cash well above what the business needed to operate. That would have reduced the price or killed the deal outright. We cleaned up the historical file. We aligned the reporting calendar with the sector’s own seasonal cycle rather than a generic year-end. Then we prepared the due-diligence package the buyer's advisers actually asked for. The deal closed at the agreed price. $220,000 of tax was saved against the structure originally proposed, with no post-closing adjustment.

Case Study 3

Scaled To 67 Staff With $120,000 Of Working Capital Freed — Mortgage Brokerage, Lethbridge

Growth at a mortgage brokerage in Lethbridge, Alberta had outrun the back office. Industry-specific reporting obligations nobody had flagged broke first. Headcount reached 67 with $120,000 of cash freed.

A mortgage brokerage in Lethbridge, Alberta was growing fast, with headcount reaching 67 in eighteen months. The back office had not kept up. Industry-specific reporting obligations nobody had flagged was the first thing to break. We reassigned the asset classes on the CCA schedule and corrected the opening balances. We built the compliance calendar for the size the business was becoming rather than the size it had been. The business reached 67 staff with no missed remittance and no late filing. $120,000 of working capital was freed in the process.

Case Study 4

Month-End Close Cut From 12 Weeks To 9 Days — Private Lending Business, London

Closing the books at a private lending business in London, Ontario took 12 weeks. The cause was sector deductions claimed on a general-business basis rather than the private equity & investment funds rules. It now takes 9 days.

The accounting file at a private lending business in London, Ontario had a weak foundation. It was built on sector deductions claimed on a general-business basis rather than the private equity & investment funds rules. The year-end had taken 12 weeks each of the last three years. We rebuilt the chart of accounts around how a private equity & investment funds business actually earns and spends. We also moved the reconciliations into the monthly cycle, so the year-end stopped being a rebuild. The file reconciles. Month-end closes in 9 days instead of 12 weeks, and the year-end is a review rather than a reconstruction.

Case Study 5

Reorganisation Completed Tax-Deferred, $67,000 Saved Each Year — Financial Planning Practice, Toronto

A financial planning practice in Toronto, Ontario had outgrown its structure. The visible cost was seasonal revenue reported without matching the costs that produced it. The reorganisation completed tax-deferred and saves $67,000 a year.

A financial planning practice in Toronto, Ontario had outgrown the structure it started with. Seasonal revenue reported without matching the costs that produced it was the immediate problem. The longer-term one was that the structure blocked the next step. We mapped the current structure and modelled the target. Then we reviewed every sector-specific deduction against the current rules and claimed the ones that had been missed. The tax-deferred elections were filed on time and the supporting valuations documented. The reorganisation completed without triggering tax, and the new structure saves approximately $67,000 a year while removing the exposure the old one carried.

Case Study 6

Incentive Review Recovered $34,500 Across 6 Open Years — Benefits Consultancy, Burnaby

An incentive review at a benefits consultancy in Burnaby, British Columbia recovered $34,500 across 6 open years. It found sector incentives that had never been tested against private equity & investment funds activity.

An incentive review at a benefits consultancy in Burnaby, British Columbia started from a simple question: what has never been claimed? The answer ran to 6 years. It was driven by sector incentives that had never been tested against private equity & investment funds activity. We documented the positions to the standard the CRA applies to this sector specifically. We documented eligibility to the standard a reviewer would apply rather than the standard a claim form requires. The credits produced $34,500 across the open years. The tracking now in place means the following year's claim is documented as the work happens rather than reconstructed afterwards.

Private Equity & Investment Funds: Straight Answers to Common Questions

Direct answers to what Canadian business owners actually ask before hiring an accountant.

How are employees and subcontractors treated differently for a private equity & investment funds business?

The CRA looks at control, ownership of tools, chance of profit and risk of loss rather than what the contract is titled. Where a worker is reclassified as an employee, the unremitted CPP, EI and withholding land on the payer, together with penalties and interest.

What instalments does a private equity & investment funds business have to pay?

Individuals pay quarterly instalments once net tax owing passes $3,000 in the current year and either of the two preceding years. Corporations generally pay monthly, with many small CCPCs eligible for quarterly instalments instead. Basing them on a current-year estimate avoids overpaying after a strong year.

What tax deductions are private equity & investment funds businesses most likely to miss?

The recurring ones are capital cost allowance on equipment placed in service late in the year, the business-use portion of vehicle and home-office costs, and professional development. Each is defensible when documented at the time and difficult to defend when reconstructed later.

How much does accounting for private equity & investment funds businesses cost?

Corporate tax filing starts at $90 and bookkeeping at $10 per month, quoted as a fixed fee before work begins. Sector complexity does not trigger a surcharge. Review the full price list.

Do private equity & investment funds businesses need to register for GST/HST?

Registration is mandatory once taxable revenue exceeds $30,000 over four consecutive quarters. Registering voluntarily below that threshold is often worthwhile, because it lets you recover input tax credits on startup and equipment purchases.

Should I incorporate my private equity & investment funds business?

Incorporation usually pays off once profit consistently exceeds what you draw personally, because retained earnings are taxed at the small business rate rather than your marginal rate. Below that point the added compliance cost often outweighs the benefit. We model both before you decide.

What records do private equity & investment funds businesses need to keep?

The CRA requires six years of books and records from the end of the tax year they relate to: invoices, receipts, bank statements, payroll records and contracts. Digital copies are acceptable provided they are legible and complete.

How do you handle payroll for private equity & investment funds businesses?

We run the cycle, remit source deductions on schedule, and issue T4s ahead of the February deadline. Late remittances draw a penalty of up to 10% and repeat lateness raises it to 20%, so timing is the whole game. See our payroll service.

What does "Pay After Service" mean?

Our Pay After Service model means you review and approve all deliverables before making any payment. We prepare your returns or financial files, you review them, and only then do you pay. This ensures 100% satisfaction.

How does price matching work?

If you find a lower verified quote from another accounting firm in Canada for the same scope of services, we will match it immediately. Simply provide a verified quote.

How do I submit my tax documents?

We support completely secure digital uploads via our client portal, or you can email them to us. We support files from QuickBooks, Xero, Excel, and scan/photo documents.

When should a private equity & investment funds business bring in a specialist instead of a generalist?

Related-party transactions have to be recorded at fair market value. A below-market charge between connected companies invites an adjustment on both sides of the transaction. We flag this early with every client it touches, because finding it out at filing time leaves you far fewer options than finding it out now.

What records should a private equity & investment funds operation be keeping through the year?

The honest starting point is this: Capital cost allowance is permissive, not mandatory. A corporation can claim less than the maximum in a low-income year. It can leave the undepreciated capital cost in the pool for a year when the deduction is worth more, provided the schedule carries that decision forward consistently. Everything else we would tell you is tailoring, and tailoring requires seeing your file.

Yes. Rent you receive is taxable income. You report the gross rents, subtract deductible expenses such as mortgage interest, property tax, insurance, utilities you pay, repairs, condominium fees and advertising, and the net rental profit is added to your other income and taxed at your marginal rate. There is no separate rental tax rate. A rental loss can generally offset other income where the property is genuinely rented at fair market value.

Service Canada issues the T4E, not your employer. The quickest route is My Service Canada Account, where the slip sits under tax information and can be printed. A paper copy also goes to the address on file, and the slip is loaded into CRA My Account, so tax software using Auto-fill my return can pull it in directly. If nothing appears, call Service Canada, and report the benefits on your return even while waiting for the slip.

Contact your municipality’s tax or revenue office and ask for a reissued bill; most cities also let you view and pay it in an online property tax account set up with your roll number. Not receiving the bill does not cancel the obligation or stop late-payment charges, so ask for the amount and due dates straight away. Update your mailing address, and check whether your lender already pays the tax through your mortgage.

Property tax is an annual charge a municipality levies on real estate to fund local services such as roads, water, policing, fire and schools. A provincial assessment authority values the property, council sets a tax rate in its budget, and the bill is the assessed value multiplied by the rate for your property class. Unpaid amounts stay attached to the property itself. It is separate from income tax, so the city bills it, not the CRA.

A ratepayer is someone who pays municipal rates, meaning property taxes and local utility charges, on property they own or occupy. The municipality sets a rate against assessed value, bills the ratepayer, and funds local services from what it collects; ratepayer associations speak for owners in an area. Property tax is municipal and quite separate from income tax, though on a rental or business property it is generally deductible against that income.

Selling a home is not automatically taxable, but every sale must be reported on your return. If it was your principal residence for all the years you owned it, the gain is usually fully exempt; otherwise the taxable portion is a capital gain, included at one-half (50%) for 2025 and 2026. What you do with the proceeds does not change the tax on the sale itself, though moving cash into a TFSA, RRSP or FHSA shelters future growth within your available room.
