Legal Consultants & Paralegals: Our Analysis

The tax file of legal consultants & paralegals looks nothing like a generic small business return. Since the WIP election was phased out, professionals are taxed on work in progress, which makes month-end WIP valuation a real tax number rather than a bookkeeping detail. Our sector team files legal consultants & paralegals at economical flat rates with pay-after-service.

A Tax Filing Specialist's Notes on Legal Consultants & Paralegals

The Legal Consultants & Paralegals files we review from other preparers share a common flaw: the return is arithmetically correct and strategically silent. Getting the sector treatment right takes more than software.

There is no way around the opening fact, so it may as well come first. Shareholder loan balances must be repaid within one year of the corporation’s following year-end. If they are not, the amount is included in the shareholder’s personal income under subsection 15(2).

Layer a second constraint on top and the picture sharpens: Related-party transactions have to be recorded at fair market value. A below-market charge between connected companies invites an adjustment on both sides of the transaction.

If any of this maps onto your situation, the next step is deliberately low-stakes: we quote a fixed fee up front, prepare the work, and you review everything before you pay. Sector files are what we do all week — bring us yours.

The tax position of Legal Consultants & Paralegals is shaped by rules that never come up for most businesses. Below are the professional services provisions that decide what a well-prepared file looks like, and where the avoidable cost usually sits.

What the CRA looks at

A practice billing one dominant client through a corporation risks the personal services business designation, which strips the small business deduction and denies almost every expense except salary.

Partner draws are not salary. Drawing ahead of allocated income creates a debit capital account the CRA can treat as a shareholder-style benefit on audit.

What you can actually claim

Professional liability insurance, licensing body dues and mandatory continuing education are fully deductible, while the personal-benefit portion of club memberships is not.

Practice-management software, secure client portals and cyber-liability cover are current expenses, while the licence itself may be a Class 12 or Class 50 capital asset.

The filing calendar that applies

Partnerships crossing $2 million in combined revenue and expenses, or holding a corporate partner, must file the T5013 information return by March 31.

An incorporated practice files the T2 within six months of year-end, with the balance due two months after (three for a CCPC claiming the small business deduction).

Where the planning value sits

Passive investment income above $50,000 a year grinds the small business deduction dollar for dollar, so retained earnings need a deliberate investment plan.

The salary-versus-dividend mix is where the money is: salary creates RRSP room and CPP entitlement, dividends avoid payroll remittances, and the right split changes with the owner's draw.

This is the level of sector detail built into every fixed-fee engagement we run for Legal Consultants & Paralegals, with payment due only after you have approved the work.

Case Study 1

Notice Of Objection Allowed In Full, $18,000 Reversed — Two-Partner Engineering Practice, Kelowna

An $18,000 reassessment landed at a two-partner engineering practice in Kelowna, British Columbia. It rested on equipment and asset classes assigned by guesswork rather than the CCA schedule. The objection was allowed in full.

A two-partner engineering practice in Kelowna, British Columbia had been reassessed for $18,000. 14 days were left on the objection deadline. The reassessment rested on equipment and asset classes assigned by guesswork rather than the CCA schedule. We filed the objection inside the deadline with a complete submission rather than a placeholder. Alongside it, we aligned the reporting calendar with the sector’s own seasonal cycle rather than a generic year-end. The appeals officer allowed the objection in full. $18,000 was reversed and the account returned to a nil balance.

Case Study 2

$42,000 Of Working Capital Freed From The Tax Cycle — Recruitment Firm, Edmonton

A recruitment firm in Edmonton, Alberta was profitable and permanently short of cash. Behind the gap sat a previous accountant with no experience of this sector. Restructuring the tax cycle freed $42,000.

A recruitment firm in Edmonton, Alberta was profitable on paper and short of cash every month. A previous accountant with no experience of this sector explained most of the gap. We documented the positions to the standard the CRA applies to this sector specifically. We also built a thirteen-week cash view so tax payments stopped competing with payroll for the same dollars. $42,000 was released back into working capital. Remittances have been on time every period since, and the forecast shows the tax outflow before it lands.

Case Study 3

$28,500 Reassessment Reduced To Nil On Review — Executive Coaching Practice, London

A $28,500 reassessment was proposed against an executive coaching practice in London, Ontario. It followed a chart of accounts that told the owner nothing about legal consultants & paralegals margin. The documented response reduced it to nil.

A review notice arrived at an executive coaching practice in London, Ontario, covering legal consultants & paralegals accounting and tax for two tax years. The auditor's working position was an adjustment of $28,500. It was driven by a chart of accounts that told the owner nothing about legal consultants & paralegals margin. Rather than negotiate, we rebuilt the record. We reviewed every sector-specific deduction against the current rules and claimed the ones that had been missed. We then submitted a point-by-point response that answered each proposed adjustment with the document behind it. The auditor accepted the documented position and closed the review without adjustment, protecting $28,500 and leaving the prior filings undisturbed.

Case Study 4

Collections Halted And $87,000 Cut From A 3-Year Backlog — Architecture Studio, Windsor

Collections had begun against an architecture studio in Windsor, Ontario over 3 years of unfiled returns. Bringing them current cut $87,000 from the balance.

By the time an architecture studio in Windsor, Ontario called, 3 years were outstanding. The CRA had assessed on estimates. Underneath it sat seasonal revenue reported without matching the costs that produced it. We reconstructed the records year by year. We rebuilt the chart of accounts around how a legal consultants & paralegals business actually earns and spends. Each filing replaced an arbitrary assessment with a real one. The account is current. Filing on real numbers rather than CRA estimates reduced the balance by $87,000, and a relief application addressed part of the accumulated interest.

Case Study 5

Filed On Time From A Standing Start, $87,000 Penalty Avoided — Insurance Brokerage, Calgary

An insurance brokerage in Calgary, Alberta was 7 weeks from a deadline. The file also carried sector deductions claimed on a general-business basis rather than the legal consultants & paralegals rules. Filing complete and on time avoided roughly $87,000 in penalties.

An insurance brokerage in Calgary, Alberta came to us 7 weeks before its filing deadline. The file came with sector deductions claimed on a general-business basis rather than the legal consultants & paralegals rules. A late filing would have triggered a penalty of roughly $87,000 before interest. We worked backwards from the deadline. We reassigned the asset classes on the CCA schedule and corrected the opening balances. We prioritised the items that actually gated the filing and deferred everything that did not. The return was filed on time and complete. The $87,000 penalty never arose, and the compliance calendar we set means the next deadline is scheduled rather than discovered.

Case Study 6

$27,000 Saved By Correcting What Prior Filings Had Missed — Management Consultancy, Surrey

A second opinion for a management consultancy in Surrey, British Columbia recovered $27,000 a year. It found industry-specific reporting obligations nobody had flagged in prior filings.

A management consultancy in Surrey, British Columbia asked for a second opinion on legal consultants & paralegals accounting and tax. That followed three years of rising tax. The review found industry-specific reporting obligations nobody had flagged. We built the comparison first: current structure against two alternatives. Then we aligned the reporting calendar with the sector’s own seasonal cycle rather than a generic year-end. First-year saving of $27,000, with the same benefit recurring. Every position taken is documented and supported in the file.

Direct answers to what Canadian business owners actually ask before hiring an accountant.

What triggers a CRA audit for a legal consultants & paralegals business?

Ratios that sit outside sector norms, repeated losses, large or round-numbered expense claims, and mismatches between filed slips and reported income. Most reviews are resolved on documentation alone, which is why contemporaneous records matter more than the size of any single claim.

How are employees and subcontractors treated differently for a legal consultants & paralegals business?

The CRA looks at control, ownership of tools, chance of profit and risk of loss rather than what the contract is titled. Where a worker is reclassified as an employee, the unremitted CPP, EI and withholding land on the payer, together with penalties and interest.

What instalments does a legal consultants & paralegals business have to pay?

Individuals pay quarterly instalments once net tax owing passes $3,000 in the current year and either of the two preceding years. Corporations generally pay monthly, with many small CCPCs eligible for quarterly instalments instead. Basing them on a current-year estimate avoids overpaying after a strong year.

What tax deductions are legal consultants & paralegals businesses most likely to miss?

The recurring ones are capital cost allowance on equipment placed in service late in the year, the business-use portion of vehicle and home-office costs, and professional development. Each is defensible when documented at the time and difficult to defend when reconstructed later.

How much does accounting for legal consultants & paralegals businesses cost?

Corporate tax filing starts at $90 and bookkeeping at $10 per month, quoted as a fixed fee before work begins. Sector complexity does not trigger a surcharge. Review the full price list.

Do legal consultants & paralegals businesses need to register for GST/HST?

Registration is mandatory once taxable revenue exceeds $30,000 over four consecutive quarters. Registering voluntarily below that threshold is often worthwhile, because it lets you recover input tax credits on startup and equipment purchases.

Should I incorporate my legal consultants & paralegals business?

Incorporation usually pays off once profit consistently exceeds what you draw personally, because retained earnings are taxed at the small business rate rather than your marginal rate. Below that point the added compliance cost often outweighs the benefit. We model both before you decide.

What records do legal consultants & paralegals businesses need to keep?

The CRA requires six years of books and records from the end of the tax year they relate to: invoices, receipts, bank statements, payroll records and contracts. Digital copies are acceptable provided they are legible and complete.

What does "Pay After Service" mean?

Our Pay After Service model means you review and approve all deliverables before making any payment. We prepare your returns or financial files, you review them, and only then do you pay. This ensures 100% satisfaction.

How does price matching work?

If you find a lower verified quote from another accounting firm in Canada for the same scope of services, we will match it immediately. Simply provide a verified quote.

How do I submit my tax documents?

We support completely secure digital uploads via our client portal, or you can email them to us. We support files from QuickBooks, Xero, Excel, and scan/photo documents.

What do new legal consultants & paralegals owners tend to get wrong in their first year?

There is a widespread assumption here, and the actual position is worth stating plainly. Capital cost allowance is permissive, not mandatory. A corporation can claim less than the maximum in a low-income year. It can leave the undepreciated capital cost in the pool for a year when the deduction is worth more, provided the schedule carries that decision forward consistently. If your current setup was built on the assumption instead of the rule, that is fixable — but sooner is better than later.

How is preparing a return for a legal consultants & paralegals business different from a general business return?

A tax specialist answers this differently than a search engine, because the rule has edges. Related-party transactions have to be recorded at fair market value. A below-market charge between connected companies invites an adjustment on both sides of the transaction. Where your business sits relative to those edges is what we establish in the first meeting.

EI benefits are taxable income. Service Canada withholds income tax before each payment reaches you, and the total benefits plus the tax withheld appear on your T4E for the year. That withholding follows a basic calculation rather than your full marginal rate, so people who also worked during the year often end up with a balance owing at filing. Asking Service Canada to withhold more, or setting money aside yourself, avoids a surprise. Higher-income claimants can also have to repay part of their regular benefits through the return.

Income tax starts once taxable income passes the basic personal amount, and a separate provincial or territorial amount applies on top, so the break-even point shifts every year with indexation and differs by where you live. Look up the current amounts on the CRA site or in the year's return package. Credits for tuition, disability, pension income or dependants push the point higher. Filing can still be worthwhile or required with no tax owing, for benefits and credits.

Only if you are authorised first. The CRA will not discuss an account with anyone who is not on file as a representative, even a spouse or adult child. The taxpayer can add you online through My Account, or you can submit an AUT-01 with their signature. For someone who cannot sign, the CRA needs legal documents such as a power of attorney or estate paperwork. Authorisation can be limited to view-only access.

Property tax on a new build starts once the property is assessed as complete and occupiable, not at closing. Until then you are billed on the land alone, and a supplementary or omitted assessment later covers the building, often arriving months afterwards and back-dated to the occupancy or completion date, so budget for a catch-up bill. Separately, a newly built home is generally subject to GST or HST, with a new housing rebate available in some cases.

That figure is your payroll deduction rate, not a tax bracket. Canada's federal rates for 2026 start at 14% and rise through 20.5%, 26% and 29% to 33%, and what leaves your cheque blends federal and provincial tax with CPP at 5.95% and EI at $1.63 per $100 of insurable earnings for 2026. Payroll also annualises each cheque, so a bonus or overtime period is taxed as if every period looked the same. Filing squares it up.

A T4E is the slip Service Canada issues for Employment Insurance and certain related benefits. It shows the total benefits paid, income tax already withheld, any benefits you had to repay and any benefit repayment required because of your income level. Report the amounts on your personal return on the line for Employment Insurance and other benefits, not on the employment income line — EI benefits are taxable but they are not employment income. Keep the slip even where no tax was withheld, because the benefits remain taxable and the CRA already holds a copy.
